Version 12/2020 I. Scope of Application Sales and deliveries shall be made exclusively in accordance with the following General Terms and Conditions of Sale and
Delivery (“Terms of Sale”). They shall apply to all contracts entered into with our Customers regarding supplies or services offered by us. The then current version of the Terms of Sale shall also apply to all future supplies and services, even if we do not separately incorporate them by reference. The Customer agrees to the application of these Terms of Sale by placing an order or accepting our supplies or services. II. Offer and Conclusion of Contract

  1. All of our offers shall be non-binding unless otherwise stated in the offer. Furthermore, all technical descriptions and other details provided in offers, catalogues and other information shall initially be non-binding. The Customer’s orders shall be binding and may be accepted by us within (3) three weeks after we have received the Customer’s order by issuing a written order confirmation or by the immediate delivery of goods. A contract shall be concluded only if we issue a written order confirmation or immediately deliver the goods and shall be governed exclusively by the contents of the order confirmation (if any) and these Terms of Sale. Submitting the order confirmation by email or fax shall be sufficient to comply with the written form requirements.
  2. Changes or amendments or additions to orders already accepted, as well as ancillary agreements and guarantees made by our sales staff, shall require our written confirmation in order to be effective.
  3. If there are any deviations between the order confirmation and these Terms of Sale, the provisions of the order confirmation shall prevail.
  4. The information which we provide with respect to the deliverables (e.g. weights, dimensions, performance values, load bearing capacity, tolerances and technical data) as well as our presentation thereof (e.g. drawings and illustrations) shall be approximate only, unless the usability for the intended purpose requires exact conformity. This information shall not constitute guaranteed characteristics, but shall only be a description or specification of the deliverables. Any customary deviations, deviations due to legal requirements or which constitute technical improvements, as well as the replacement of components by equivalent parts, are permissible to the extent as they do not impair the usability for the contractually intended purpose.
  5. We reserve title and/or copyright to all of our offers and cost estimates as well as to drawings, illustrations, calculations, brochures, catalogues, models, tools and other documents and means provided to the Customer. The Customer shall not make these objects available to third parties, use them for other purposes than purchasing goods from us or reproduce them without our express consent. Upon our request, he shall return to us or destroy all of these objects and any copies made. This shall also apply if these objects are no longer required by him in the proper course of business or if negotiations do not lead to entering into a contract.

III. Prices, Terms of Payment, Set-Off and Right of Retention

  1. The prices shall be valid for the scope of supplies and services specified in the order confirmation. Additional or special services shall be charged separately. The prices are in EURO Free Carrier (“FCA German Warehouse SFC KOENIG, Illerrieden” in accordance with Incoterms 2020) and exclusive of packaging, statutory VAT, fees and other public charges; export shipments are subject to customs duties.
  2. If the supplies or services are made more than four (4) months after the conclusion of the contract and if, we subsequently suffer unforeseeable cost increases with respect to such supplies and services for which we are not responsible, we shall be entitled, at our own reasonable discretion, to pass on such higher costs by increasing the agreed price on a pro rata basis. The higher costs are to be passed on without an increase of our profits. We shall pass on to the Customer only the additional costs actually incurred. If, according to this calculation, the net price to be paid by Customer to us for our supplies and services exceeds 100% of the initially agreed net price, Customer shall be entitled to rescind the contract, and in the event of rescission of the contract, the Customer shall pay to us liquidated damages of 15% of the gross purchase price. The Customer shall remain entitled to prove that we have suffered no damages or lower damages due to the rescission.
  3. Invoices shall be paid without any deductions within thirty (30) days, unless otherwise agreed in writing. If the Customer fails to pay on the due date, the Customer shall be in default even if we do not issue a reminder. In this case we shall be entitled to claim statutory default interest. The right to claim further damages caused by the default shall remain unaffected.
  4. The Customer shall only be entitled to a set-off if his counterclaim is uncontested, ready for decision or has been finally adjudicated. The Customer shall only be entitled to assert a right of retention to the extent that his counterclaim is based on the same contract and is uncontested, ready for decision or has been finally adjudicated. In case of defects the Customer’s counterclaims shall remain unaffected.

IV. Shipment, Delivery Periods, Force Majeure und Partial Delivery

  1. Deliveries shall be made Free Carrier (“FCA German Warehouse SFC KOENIG, Illerrieden” in accordance with Incoterms 2020). All delivery and performance obligations shall be subject to correct and timely performance of our suppliers, unless we are responsible for the incorrect or delayed performance of our suppliers.
  2. Any delivery and performance dates or periods indicated by us shall be approximate only, unless otherwise agreed. If shipping has been agreed, delivery periods and delivery dates refer to the time of delivery to the freight forwarder, carrier or other third party designated to carry out the shipment. Delivery and performance dates or periods indicated by us shall not commence prior to the final clarification of all performance details.
  3. Notwithstanding any other rights, we may require the Customer to postpone delivery and performance dates or to extend delivery and performance periods for the period during which Customer does not meet his contractual obligations towards us.
  4. We shall not be liable for the impossibility of or delay in delivery, to the extent this has been caused by force majeure or other events which were unforeseeable at the time of conclusion of contract (e.g. all kinds of disruptions of our operations, difficulties to procure material or energy, delay in transit, strikes, lawful lockouts, lack of manpower, energy or raw materials, difficulties in procuring necessary government permits, or government actions) and for which we are not responsible. To the extent these events make delivery or performance significantly more difficult or impossible and the disturbance is not only of a temporary nature, we shall be entitled to rescind the contract. In the event of temporary disturbances the delivery or performance dates shall be postponed and the delivery or performance periods shall be extended by the duration of the disturbance plus a reasonable leadtime. If due to the delay it would be unreasonable for the Customer to accept delivery or performance, he can rescind the contract by submitting a written declaration to us without undue delay.
  5. We shall be entitled to partial deliveries to the extent such deliveries are reasonable for the Customer.

V. Retention of Title

  1. Title to the goods delivered shall remain with us until any and all existing current and future claims against the Customer arising from the business relationship between the Customer and us have been paid (“Goods subject to Retention of Title“). In the case of several or current accounts, the retained title shall secure the respective balances due to us.
  2. The Customer shall store the Goods subject to Retention of Title for us free of charge. For the duration of the existing Retention of Title, the Customer shall be obliged to treat the Goods subject to Retention of Title with care. He is obliged to insure the Goods subject to Retention of Title in a reasonable manner at the original value, provide proof of insurance and assign his claims arising from the insurance contract to us.
  3. If the Customer processes Goods subject to Retention of Title, it shall be deemed to be agreed that the processing shall be undertaken on our behalf and for our account as a manufacturer and we shall directly acquire the property or – if processing occurs with materials of several owners or if the value of the processed goods is higher than the value of the Goods subject to Retention of Title – acquire the co-ownership (fractional ownership) of the newly created goods in the ratio of the value of the Goods subject to Retention of Title to the value of the newly created goods. If no such acquisition of title occurs, the Customer hereby transfers to us its future title or – in the ratio mentioned above – co-ownership of the newly created goods by way of security. Should the Goods subject to Retention of Title be combined with other goods and thus become part of a unified good, or be mixed inseparably with other goods, we shall acquire co-ownership of the new goods in the ratio of the value of the Goods subject to Retention of Title to the other goods at the date of combination or mixing. Should the combination or mixing take place in such manner that the Customer’s goods are to be considered the main goods, it shall be deemed to be agreed that the Customer assigns proportionate co-ownership to us. The Customer shall hold the co-ownership created in such a manner in custody for us free of charge.
  4. The Customer is entitled to process and sell the Goods subject to Retention of Title within his ordinary course of business unless we commence enforcement of the retention of title (Clause V par. 8). Pledging, transfer of title by way of security or any other kind of encumbrancing shall not be permitted. In case of reselling the Goods subject to Retention of Title, the Customer hereby assigns to us by way of security the receivables resulting therefrom against the purchaser. We hereby accept such assignment. The same shall apply to any other claims replacing the Goods subject to Retention of Title or which incur with respect to the Goods subject to Retention of Title, e.g. insurance claims or tort claims regarding loss or destruction. Should the Customer sell the Goods subject to Retention of Title after joining, mixing or blending them with other goods or together with other goods, this assignment of receivables shall only be agreed to for an amount equivalent to the price agreed to between the Customer and us plus a safety margin of 10 % of this price. The Customer is granted the revocable authorization to collect in trust the claims assigned to us in his own name. In the event of enforcement of the retention of title (Clause V par. 8), we may revoke such authorization and the right to resell the goods.
  5. The Customer shall provide us at all times with all information requested concerning the Goods subject to Retention of Title or receivables assigned to us under this contract.
  6. Should third parties seize the Goods subject to Retention of Title, in particular, by way of attachment, the Customer shall advise them of our title without undue delay and notify us thereof in order to make it possible for us to enforce our title. If the third party is incapable of reimbursing us for the judicial and extrajudicial costs incurred in this regard, this costs shall be borne by Customer to the extent enforcing our title was successful and we have unsuccessfully attempted to claim the costs from the third party by way of execution proceedings.
  7. If the realizable value of the Goods subject to Retention of Title and the claims replacing them exceeds all of our claims that are to be secured by more than 10%, the Customer shall be entitled to demand a release to such extent. We shall have the right to select the objects to be released thereafter.
  8. Should we rescind the contract due to the Customer‘s breach of contract – in particular, in the event of default in payment, if execution proceedings are initiated against Customer, if insolvency proceedings are opened with regard to his assets or if the commencement such proceedings against his assets have been rejected due to lack of assets –we may request surrender of the Goods subject to Retention of Title or collect the secured claims ourselves (realisation of the collateral).

VI. Place of Performance, Shipping, Packaging, Passage of Risk and Acceptance

  1. Place of performance for all obligations arising out of the contractual relationship shall be the place of our registered office in 89186 Illerieden unless otherwise stated herein.
  2. If we handle the shipment of the goods at the Customer’s request, shipment shall be made at the Customer’s expense and risk. If the Customer does not provide any instructions regarding the shipping method and the packaging, shipment and packaging shall be determined by us at our reasonable discretion.
  3. The risk of accidental loss or deterioration shall pass to the Customer upon delivery the goods (at the beginning of the loading process) to the forwarding agent, carrier or to other third party designated to carry out the shipment. This shall also apply if partial deliveries are made or if we have to provide additional services (e.g. shipping).
  4. If shipping or handing over is delayed on grounds for which we are not responsible, or if the Customer declares prior to the delivery that he will refuse acceptance of the goods delivered, risk shall pass to the Customer on the day upon notifying the Customer about the readiness of the goods for shipment.
  5. If acceptance is agreed, risk shall pass to the Customer upon acceptance. An agreed acceptance shall in all other respects be governed by the statutory provisions governing contracts for works.
  6. The Customer shall bear the costs of storing the goods after passing of risk. If we store the goods we shall be entitled to charge 0.25% of the invoice amount of the goods to be stored for each completed week. The right to claim and prove higher or lower costs of storage shall remain unaffected.
  7. We shall insure shipment only upon the Customer’s explicit request and expense against theft, breakage, transport, fire, and water damages or other insurable risks.

VII. Warranty

  1. The goods delivered shall be inspected carefully without undue delay upon receipt by the Customer or the third party specified by him. With respect to apparent defects or other defects, which would have been detected upon a careful inspection, the goods shall be deemed accepted by the Customer if we do not receive from the Customer a notification of defects in writing without undue delay upon delivery and once the defect becomes apparent. With respect to other defects, the goods shall be deemed accepted by the Customer if we do not receive from the Customer a notification of defects in writing without undue delay once the defect becomes apparent.
  2. We warrant that the goods delivered will be of the agreed quality. The agreed quality shall exclusively be determined by the specific written agreements concluded between the Customer and us or by our confirmations concerning specifications, features and performance characteristics of the goods. We shall not be liable for any public statements made by third parties that have not been authorized by us. The statutory provisions on the burden of presentation and proof in the case of defects shall remain unaffected. Descriptive and explanatory information regarding the goods and their intended purpose as well as public statements shall not constitute a guarantee of a specific quality of the goods. The content of such quality guarantees shall exclusively be determined by the content of written agreements or our written confirmations.
  3. If the goods delivered are defective, we shall be obliged, within a reasonable period and at our discretion, to either repair the defect or to provide a replacement (hereinafter “remedial action”). Remedial action shall neither include the removal of the defective goods nor the reinstallation if we were not initially obligated to install them. The Customer shall return the defective goods, which are covered by the warranty to us and shall grant us the required time and opportunity for the remedial action. If the warranty claim is justified, we shall to the extent provided by the statutory provisions bear the costs of material, shipment, labor and removal and reinstallation, if any, incurred for the purpose of performing the remedial action. If the Customer’s notification of the defect turns out to be unjustified and provided that the Customer has realized this prior to the notification of the defect or negligently failed to realize this, the Customer shall be obliged to reimburse us for all expenses incurred in this respect. Should the remedial action fail, i.e. in case of impossibility, unreasonableness, refusal, or in the event of an unreasonable delay of the remedial action, the Customer may at his option, with respect to the defective part of a delivery, rescind the contract or may request that the purchase price be reasonably reduced. Claims of the Customer for damages or the reimbursement of futile expenses shall in the case of defects also be subject to Clause VIII; any additional claims shall be excluded.
  4. The Customer shall have the right to remedy defects himself or through a third party and to claim the reimbursement of futile expenses only in order to avert disproportionally large damages, in case of emergency, or if we are in default with remedying the defect, always provided that the Customer has previously given us notice thereof without undue delay. The Customer shall inform us with undue delay of any such substitute performance in advance whenever possible. The right of substitute performance shall not exist if we are entitled to refuse the remedial action according to statutory provisions. We shall not be liable for damages resulting from inappropriate or improper use, incorrect handling or by normal wear and tear, provided that we are not responsible for the damage.
  5. The Customer’s rights regarding defects shall be excluded if the Customer modifies the goods delivered without our permission has them modified by third parties, provided that the modification render remedying the defect impossible or unreasonably difficult. In any event, the Customer shall bear any additional costs of remedying defects caused by the modification.
  6. The limitation period for warranty claims shall be one (1) year from the passage of risk. The statutory limitation periods shall apply to the extent that mandatory provisions provide for a longer limitation period (Sec. 445b German Civil Code [BGB]), for claims resulting from personal injury or death, and with respect to the Customer’s rights in the event of fraudulently concealed defects or defects caused intentionally or by gross negligence.

VIII. Liability and Damages

  1. Our liability for damages to the extent such liability requires fault, in particular liability for impossibility, default, defective or incorrect delivery, breach of contract, culpa in contrahendo and tort, shall regardless of its legal grounds be limited as provided for in this Clause VIII.
  2. We shall not be liable for damages caused by slight negligence of our corporate bodies, legal representatives, employees, or other vicarious agents, unless they breach material contractual obligations. Material contractual obligations shall be the obligations to deliver and install the goods on time, deliver goods that are free from defects which affect their functionality or usability more than insignificantly, and advisory, protective and duty of care obligations which are intended to facilitate the Customer’s contractual use of the goods, to protect the life or limb of the Customer’s employees, or to protect the Customer’s property from significant damages.
  3. To the extent we are held liable for damages on the merits pursuant to Clause VIII par. 2 we shall only be liable up to the amount of the foreseeable damages which are typical for contracts of this kind, i.e. damages which we have foreseen as possible consequences of a breach of contract at the time of entering into the contract or which we should have foreseen by exercising reasonable diligence and which are typically to be expected when the goods are used for their intended purpose.
  4. The aforementioned exclusions and limitation of liability shall apply to the same extent in favour of our corporate bodies, legal representatives, employees and other vicarious agents.
  5. To the extent that we provide technical information or advice and providing such information or advice is not within the scope of the contract, this shall be made free of charge and to the exclusion of any liability.
  6. The Customer shall take all reasonable measures necessary to avert and reduce damages.

IX. Prevailing Language The German language version of these Terms of Sale shall be controlling. The English translation shall not be binding to the
extent it deviates from the original German text. X. Miscellaneous

  1. Without prejudice to any other exclusive venues, the courts of Illerrieden, Germany shall have exclusive jurisdiction to decide any and all disputes arising out of or in connection with the business relationship. We shall, however, be entitled to bring legal action against the Customer at any other legal venue.
  2. The legal relationship between Customer and us shall exclusively be governed by German law; the United Nations Convention on Contracts for the International Sale of Goods dated 11 April 1980 (CISG) shall not apply.
  3. If one or more of these terms turns out to be invalid, in whole or in part, the validity of the remaining terms shall remain unaffected. The invalid terms, whether in whole or in part, shall be replaced by such valid terms, which match the economic purpose of the invalid terms as closely as possible. The same shall apply to an omission.
  4. The Customer shall not be entitled to assign any rights arising from agreements with us to any third party. Sec. 354a German Commercial Code (HGB) shall remain unaffected.

The statutory provisions on the burden of presentation and proof in the case of defects shall remain unaffected. Descriptive and explanatory information regarding the goods and their intended purpose as well as public statements shall not constitute a representation or guarantee of a specific quality of the goods. The content of such quality representations or guarantees shall exclusively be determined by the content of written agreements or our written confirmations.
  3. If the goods delivered are defective, we shall be obliged, within a reasonable period and at our discretion, to either repair the defect or to provide a replacement (hereinafter “remedial action”). Remedial action shall neither include the removal of the defective goods nor the reinstallation if we were not initially obligated to install them. The Customer shall return the defective goods, which are covered by the warranty to us and shall grant us the required time and opportunity for the remedial action. If the warranty claim is justified, we shall to the extent provided by the statutory provisions bear the costs of material, shipment, labor and removal and reinstallation, if any, incurred for the purpose of performing the remedial action. If the Customer’s notification of the defect turns out to be unjustified and provided that the Customer has realized this prior to the notification of the defect or negligently failed to realize this, the Customer shall be obliged to reimburse us for all expenses incurred in this respect. Should the remedial action fail, i.e. in case of impossibility, unreasonableness, refusal, or in the event of an unreasonable delay of the remedial action, the Customer may at his option, with respect to the defective part of a delivery, rescind the contract or may request that the purchase price be reasonably reduced. Claims of the Customer for damages or the reimbursement of futile expenses shall in the case of defects also be subject to Clause VIII; any additional claims shall be excluded.
  4. The Customer shall have the right to remedy defects himself or through a third party and to claim the reimbursement of futile expenses only in order to avert disproportionally large damages, in case of emergency, or if we are in default with remedying the defect, always provided that the Customer has previously given us notice thereof without undue delay. The Customer shall inform us with undue delay of any such substitute performance in advance whenever possible. The right of substitute performance shall not exist if we are entitled to refuse the remedial action according to statutory provisions. We shall not be liable for damages resulting from inappropriate or improper use, incorrect handling or by normal wear and tear, provided that we are not responsible for the damage.
  5.  The Customer’s rights regarding defects shall be excluded if the Customer modifies the goods delivered without our permission has them modified by third parties, provided that the modification render remedying the defect impossible or unreasonably difficult. In any event, the Customer shall bear any additional costs of remedying defects caused by the modification.
  6. The limitation period for warranty claims shall be one (1) year from the passage of risk. The statutory limitation periods shall apply to the extent that mandatory provisions provide for a longer limitation period, for claims resulting from personal injury or death, and with respect to the Customer’s rights in the event of fraudulently concealed defects or defects caused intentionally or by gross negligence.

VII. Liability and Damages

  1. Our liability for damages to the extent such liability requires fault, in particular liability for impossibility, default, defective or incorrect delivery, breach of contract, culpa in contrahendo and tort, shall regardless of its legal grounds be limited as provided for in this Clause VIII.
  2. We shall not be liable for damages caused by slight negligence of our corporate bodies, legal representatives, employees, or other vicarious agents, unless they breach material contractual obligations. Material contractual obligations shall be the obligations to deliver and install the goods on time, deliver goods that are free from defects which affect their functionality or usability more than insignificantly, and advisory, protective and duty of care obligations which are intended to facilitate the Customer’s contractual use of the goods, to protect the life or limb of the Customer’s employees, or to protect the Customer’s property from significant damages.
  3. To the extent we are held liable for damages on the merits pursuant to Clause VIII par. 2 we shall only be liable up to the amount of the foreseeable damages which are typical for contracts of this kind, i.e. damages which we have foreseen as possible consequences of a breach of contract at the time of entering into the contract or which we should have foreseen by exercising reasonable diligence and which are typically to be expected when the goods are used for their intended purpose.
  4. The aforementioned exclusions and limitation of liability shall apply to the same extent in favour of our corporate bodies, legal representatives, employees and other vicarious agents.
  5. To the extent that we provide technical information or advice and providing such information or advice is not within the scope of the contract, this shall be made free of charge and to the exclusion of any liability.
  6. The Customer shall take all reasonable measures necessary to avert and reduce damages.

VIII. Prevailing Language The German language version of these Terms of Sale shall be controlling. The French and English translation shall not be binding to the extent it deviates from the original German text./ IX. Miscellaneous

  1. Without prejudice to any other exclusive venues, the courts courts of Dietikon, Switzerland shall have exclusive jurisdiction to decide any and all disputes arising out of or in connection with the business relationship. We shall, however, be entitled to bring legal action against the Customer at any other legal venue.
  2. The legal relationship between Customer and us shall exclusively be governed by Swiss law with the exclusion of conflict law and the United Nations Convention on Contracts for the International Sale of Goods dated 11 April 1980 (CISG).
  3. If one or more of these terms turns out to be invalid, in whole or in part, the validity of the remaining terms shall remain unaffected. The invalid terms, whether in whole or in part, shall be replaced by such valid terms, which match the economic purpose of the invalid terms as closely as possible. The same shall apply to an omission.
  4. The Customer shall not be entitled to assign any rights arising from agreements with us to any third party.

I. Geltungsbereich
Alle unsere Lieferungen und Leistungen erfolgen ausschliesslich auf Grundlage dieser Allgemeinen Verkaufs- und Lieferbedingungen (im Folgenden „Verkaufsbedingungen“). Sie sind Bestandteil aller Verträge, die wir mit unseren Kunden über die von uns angebotenen Lieferungen oder Leistungen abschliessen. Sie gelten in ihrer jeweiligen Fassung auch für alle zukünftigen Lieferungen oder Leistungen, selbst wenn wir auf ihre Einbeziehung im Einzelfall nicht gesondert hinweisen. Mit Abgabe der Bestellung oder der Entgegennahme unserer Lieferungen und Leistungen erkennt der Kunde die Geltung dieser Verkaufsbedingungen an. II. Angebot und Vertragsschluss
  1. Alle unsere Angebote sind freibleibend und unverbindlich, sofern sich aus dem jeweiligen Angebot nicht etwas anderes ergibt. Ebenso sind technische Beschreibungen und sonstige Angaben in Angeboten, Prospekten und sonstigen Informationen zunächst unverbindlich. Bestellungen oder Aufträge des Kunden gelten als verbindliches Vertragsangebot und können von uns innerhalb von drei (3) Wochen nach Zugang mit unserer schriftlichen Auftragsbestätigung bzw. unserer sofortigen Warenlieferung angenommen werden. Ein Vertrag kommt nur durch unsere schriftliche Auftragsbestätigung bzw. die Warenlieferung zustande und richtet sich ausschliesslich nach dem Inhalt der Auftragsbestätigung (sofern eine solche erteilt wird) und diesen Verkaufsbedingungen. Zur Wahrung der Schriftform genügt die Übermittlung der Auftragsbestätigung per E-Mail oder Fax.
  2. Abänderungen oder Ergänzungen bereits angenommener Bestellungen bedürfen, wie auch Nebenabreden und Garantien unserer Verkaufsangestellten, zu ihrer Wirksamkeit unserer schriftlichen Bestätigung.
  3. Bei Abweichungen zwischen der Auftragsbestätigung und diesen Verkaufsbedingungen gehen die Regelungen der Auftragsbestätigung vor.
  4. Unsere Angaben zu der zu liefernden Ware (z.B. Gewichte, Masse, Gebrauchswerte, Belastbarkeit, Toleranzen und technische Daten) sowie unsere Darstellungen derselben (z.B. Zeichnungen und Abbildungen) sind nur annähernd massgeblich, soweit nicht die Verwendbarkeit zum vertraglich vorgesehenen Zweck eine genaue Übereinstimmung voraussetzt. Sie sind keine garantierten Beschaffenheitsmerkmale, sondern Beschreibungen oder Kennzeichnungen der zu liefernden Ware. Handelsübliche Abweichungen und Abweichungen, die aufgrund rechtlicher Vorschriften erfolgen oder technische Verbesserungen darstellen, sowie die Ersetzung von Bauteilen durch gleichwertige Teile sind zulässig, soweit sie die Verwendbarkeit zum vertraglich vorgesehenen Zweck nicht beeinträchtigen.
  5. Wir behalten uns das Eigentum und/oder Urheberrecht an allen von uns abgegebenen Angeboten und Kostenvoranschlägen sowie dem Kunden zur Verfügung gestellten Zeichnungen, Abbildungen, Berechnungen, Prospekten, Katalogen, Modellen, Werkzeugen und anderen Unterlagen und Hilfsmitteln vor. Der Kunde darf diese Gegenstände ohne unsere ausdrückliche Zustimmung weder Dritten zugänglich machen noch für andere Zwecke als den Einkauf von Ware bei uns nutzen oder vervielfältigen. Er hat auf unser Verlangen diese Gegenstände und eventuell gefertigte Kopien vollständig an uns zurückzugeben oder zu vernichten. Dies gilt auch wenn die Gegenstände von ihm im ordnungsgemässen Geschäftsgang nicht mehr benötigt werden oder wenn Verhandlungen nicht zum Abschluss eines Vertrages führen.
III. Preise, Zahlungsbedingungen, Aufrechnung und Zurückbehaltungsrecht
  1. Die Preise gelten für den in den Auftragsbestätigungen aufgeführten Liefer- und Leistungsumfang. Mehr- oder Sonderleistungen werden gesondert berechnet. Die Preise verstehen sich in CHF Free Carrier („FCA am Sitz der SFC KOENIG AG, Dietikon, Schweiz“ gemäss Incoterms 2020), exklusive Verpackung, der gesetzlichen Mehrwertsteuer, sowie exklusive Gebühren und anderer öffentlicher Abgaben; bei Exportlieferungen zuzüglich Zoll.
  2. Erfolgt die Lieferung oder Leistung erst mehr als vier (4) Monate nach Vertragsschluss und sind nach dem Vertragsschluss nicht vorhersehbare und von uns nicht zu vertretende Kostensteigerungen im Hinblick auf unsere Lieferungen und Leistungen eingetreten, so sind wir nach billigem Ermessen zur Weitergabe der höheren Kosten durch entsprechende anteilige Erhöhung des vereinbarten Preises berechtigt. Die Weitergabe der höheren Kosten erfolgt derart, dass unser absoluter Gewinn erhalten bleibt, d.h. nicht erhöht wird. Lediglich die tatsächlich eingetretenen Mehrkosten können von uns an den Kunden weitergegeben werden. Sollte der Nettopreis für unsere Lieferungen und Leistungen, den der Kunde an uns nach dieser Berechnung zu entrichten hat, 100% des ursprünglich vereinbarten Nettopreises übersteigen, so steht dem Kunden das Recht zu, vom Vertrag zurücktreten, wobei der Kunde uns im Falle des Rücktritts vom Vertrag eine Pauschalentschädigung von 15% des Bruttokaufpreises zu zahlen hat. Dem Kunden bleibt es unbenommen nachzuweisen, dass uns durch den Rücktritt kein Schaden oder aber ein geringerer Schaden entstanden ist.
  3. Rechnungsbeträge sind innerhalb von dreissig (30) Tagen ohne Abzug zu bezahlen, sofern nicht etwas anderes schriftlich vereinbart ist. Leistet der Kunde bei Fälligkeit nicht, so gerät der Kunde in Verzug, ohne dass es einer vorherigen Mahnung bedarf. Wir sind in diesem Fall berechtigt, Verzugszinsen in gesetzlicher Höhe zu verlangen. Die Geltendmachung darüber hinausgehender Verzugsschäden bleibt unberührt.
  4. Die Verrechnung mit Gegenforderungen des Kunden ist nur zulässig, soweit die Gegenforderungen von uns anerkannt, unbestritten oder rechtskräftig festgestellt sind. Zur Ausübung eines Retentionsrechts ist der Kunde nur dann berechtigt, wenn seine Gegenforderung auf demselben Vertragsverhältnis beruht und von uns anerkannt wurde, unbestritten ist oder rechtskräftig festgestellt wurde. Bei Mängeln bleiben die Gegenforderungen des Kunden unberührt.
IV. Lieferung, Lieferzeit, höhere Gewalt und Teillieferung
  1. Lieferungen erfolgen Free Carrier („FCA am Sitz der SFC KOENIG AG, Dietikon, Schweiz“ gemäss Incoterms 2020). Sämtliche Liefer- und Leistungsverpflichtungen stehen unter dem Vorbehalt der richtigen und rechtzeitigen Selbstbelieferung, es sei denn, die unrichtige oder verspätete Selbstbelieferung ist von uns zu vertreten.
  2. Von uns in Aussicht gestellte Fristen und Termine für Lieferungen und Leistungen gelten stets nur annähernd, sofern wir nichts anderes vereinbart haben. Sofern Versendung vereinbart wurde, beziehen sich Lieferfristen und Liefertermine auf den Zeitpunkt der Übergabe an den Spediteur, Frachtführer oder den sonst mit dem Transport beauftragten Dritten. Von uns in Aussicht gestellte Fristen und Termine für Lieferungen und Leistungen beginnen erst nach restloser Klärung aller Ausführungsdetails zu laufen.
  3. Wir können – unbeschadet unserer sonstigen Rechte – vom Kunden eine Verlängerung von Liefer- und Leistungsfristen oder eine Verschiebung von Liefer- und Leistungsterminen um den Zeitraum verlangen, in dem der Kunde seinen vertraglichen Verpflichtungen uns gegenüber nicht nachkommt.
  4. Wir haften nicht für Unmöglichkeit oder Verzögerung der Lieferung oder Leistung, soweit diese durch höhere Gewalt oder sonstige, zum Zeitpunkt des Vertragsabschlusses nicht vorhersehbare Ereignisse (z.B. Betriebsstörungen aller Art, Schwierigkeiten in der Material- oder Energiebeschaffung, Transportverzögerungen, Streiks, rechtmässige Aussperrungen, Mangel an Arbeitskräften, Energie oder Rohstoffen, Schwierigkeiten bei der Beschaffung von notwendigen behördlichen Genehmigungen oder behördliche Massnahmen) verursacht worden sind, die wir nicht zu vertreten haben. Sofern uns solche Ereignisse die Lieferung oder Leistung wesentlich erschweren oder unmöglich machen und die Behinderung nicht nur von vorübergehender Dauer ist, sind wir zum Rücktritt vom Vertrag berechtigt. Bei Hindernissen vorübergehender Dauer verlängern sich die Liefer- oder Leistungsfristen oder verschieben sich die Liefer- oder Leistungstermine um den Zeitraum der Behinderung zuzüglich einer angemessenen Anlauffrist. Soweit dem Kunden infolge der Verzögerung die Abnahme der Lieferung oder Leistung nicht zuzumuten ist, kann er durch unverzügliche schriftliche Erklärung gegenüber uns vom Vertrag zurücktreten.
  5. Wir sind zu Teillieferungen oder Teilleistungen berechtigt, soweit diese für den Kunden zumutbar sind.
V. Erfüllungsort, Versand, Verpackung, Gefahrübergang und Abnahme
  1. Erfüllungsort für alle Verpflichtungen aus dem Vertragsverhältnis ist unser Firmensitz in 8953 Dietikon, Schweiz, soweit nichts anderes bestimmt ist.
  2. Sofern wir auf Wunsch des Kunden den Versand der Ware übernehmen, erfolgt der Versand auf Kosten und Risiko des Kunden. Sofern uns der Kunde hinsichtlich Versandart und Verpackung keine Weisungen erteilt, erfolgt Versand und Verpackung nach unserem pflichtgemässen Ermessen.
  3. Die Gefahr des zufälligen Untergangs oder der zufälligen Verschlechterung geht spätestens mit der Übergabe der Ware (wobei der Beginn des Verladevorgangs massgeblich ist) an den Spediteur, Frachtführer oder den sonst zur Ausführung der Versendung bestimmten Dritten auf den Kunden über. Dies gilt auch dann, wenn Teillieferungen erfolgen oder wir noch andere Leistungen (z.B. Versand) übernommen haben.
  4. Verzögert sich der Versand oder die Übergabe infolge eines Umstandes, den wir nicht zu vertreten haben oder teilt der Kunde uns bereits im Vorfeld der Lieferung mit, dass er die Ware nicht annehmen wird, so geht die Gefahr am Tage der Mitteilung der Versandbereitschaft der Lieferung auf den Kunden über.
  5. Soweit eine Abnahme vereinbart ist, ist diese für den Gefahrübergang massgebend. Auch im Übrigen gelten für eine vereinbarte Abnahme die gesetzlichen Vorschriften des Werkvertragsrechts entsprechend.
  6. Lagerkosten nach Gefahrübergang trägt der Kunde. Bei Lagerung durch uns betragen die Lagerkosten 0,25 % des Rechnungsbetrages der zu lagernden Ware pro abgelaufener Woche. Die Geltendmachung und der Nachweis weiterer oder geringerer Lagerkosten bleiben vorbehalten.
  7. Die Sendung wird von uns nur auf ausdrücklichen Wunsch des Kunden und auf seine Kosten gegen Diebstahl, Bruch-, Transport-, Feuer- und Wasserschäden oder sonstige versicherbare Risiken versichert.
VI. Mängelhaftung
  1. Die gelieferte Ware ist unverzüglich nach Ablieferung an den Kunden oder an den von ihm bestimmten Dritten sorgfältig zu untersuchen. Die Ware gilt hinsichtlich offensichtlicher Mängel oder anderer Mängel, die bei einer unverzüglichen, sorgfältigen Untersuchung erkennbar gewesen wären, als vom Kunden genehmigt, wenn uns nicht unverzüglich nach Ablieferung und dem Zeigen des Mangelseine schriftliche Mängelrüge zugeht. Hinsichtlich anderer Mängel gilt die gelieferte Ware als vom Kunden genehmigt, wenn die schriftliche Mängelrüge uns nicht unverzüglich nach dem Zeitpunkt zugeht, in dem sich der Mangel zeigte.
  2. Wir gewährleisten, dass die gelieferte Ware die vereinbarte Beschaffenheit aufweist. Die vereinbarte Beschaffenheit bemisst sich ausschliesslich nach den zwischen uns und dem Kunden schriftlich getroffenen konkreten Vereinbarungen oder unseren Bestätigungen über die Eigenschaften, Merkmale und Leistungscharakteristika. Für öffentliche Äusserungen Dritter, die von uns nicht autorisiert sind, übernehmen wir keine Haftung. Die gesetzlichen Regelungen zur Behauptungs- und Beweislast bei Mängeln bleiben im Übrigen unberührt. Beschreibende oder erläuternde Angaben hinsichtlich der Ware oder deren Verwendungszweck sowie öffentliche Äusserungen sind nicht als Zusicherung oder Garantie für eine besondere Beschaffenheit der Ware zu verstehen. Für den Inhalt derartiger Zusicherungen oder Garantien ist eine schriftliche Vereinbarung oder eine schriftliche Bestätigung durch uns massgeblich.
  3. Bei Mängeln der gelieferten Ware sind wir nach unserer innerhalb angemessener Frist zu treffenden Wahl zunächst zur Nachbesserung oder Ersatzlieferung (im Folgenden „Nacherfüllung“) verpflichtet und berechtigt. Die Nacherfüllung beinhaltet weder den Ausbau der mangelhaften Waren noch den erneuten Einbau, wenn wir nicht ursprünglich zum Einbau verpflichtet waren. Der Kunde wird auf unser Verlangen mit gewährleistungspflichtigen Mängeln behaftete Waren an uns übersenden und uns die für die Nacherfüllung notwendige Zeit und Gelegenheit einräumen. Die zum Zwecke der Nacherfüllung anfallenden Material-, Transport-, Arbeits- und ggf. Einbau- und Ausbaukosten übernehmen wir im Umfang der gesetzlichen Bestimmungen, sofern die Mängel berechtigterweise geltend gemacht werden. Erweist sich eine Mängelrüge des Kunden als unberechtigt und hat der Kunde dies erkannt oder fahrlässig nicht erkannt, so ist der Kunde uns zum Ersatz der hierdurch entstandenen Aufwendungen verpflichtet. Im Falle des Fehlschlagens, d.h. der Unmöglichkeit, Unzumutbarkeit, Verweigerung oder unangemessenen Verzögerung der Nacherfüllung, kann der Kunde hinsichtlich des mangelhaften Teils der Lieferung vom Vertrag zurücktreten oder den Preis angemessen mindern. Ansprüche des Kunden auf Schadensersatz bzw. Ersatz vergeblicher Aufwendungen bestehen auch bei Mängeln nur nach Massgabe von Ziff. VII und sind im Übrigen ausgeschlossen.
  4. Nur in dringenden Fällen oder zu Abwehr unverhältnismässig grosser Schäden oder, wenn wir mit der Beseitigung des Mangels in Verzug sind, hat der Kunde das Recht, nach unverzüglicher Mitteilung an uns den Mangel selbst oder durch Dritte beseitigen zu lassen und von uns den Ersatz der notwendigen Kosten zu verlangen. Von einer derartigen Ersatzvornahme sind wir unverzüglich, nach Möglichkeit vorher, zu benachrichtigen. Das Ersatzvornahmerecht besteht nicht, wenn wir berechtigt wären, eine entsprechende Nacherfüllung nach den gesetzlichen Vorschriften zu verweigern. Wir übernehmen keine Gewähr für Schäden, die durch ungeeignete oder unsachgemässe Verwendung, fehlerhafte Behandlung oder durch natürliche Abnutzung entstehen, sofern die Schäden nicht von uns zu vertreten sind.
  5. Die Gewährleistung entfällt, wenn der Kunde ohne unsere Zustimmung die gelieferte Ware ändert oder durch Dritte ändern lässt und die Mängelbeseitigung hierdurch unmöglich oder unzumutbar erschwert wird. In jedem Fall hat der Kunde die durch die Änderung entstehenden Mehrkosten der Mängelbeseitigung zu tragen.
  6. Die Verjährungsfrist für Mängelhaftungsansprüche beträgt ein (1) Jahr ab Gefahrübergang. Soweit das Gesetz zwingend eine längere Verjährungsfrist vorschreibt, sowie für Schadensersatzansprüche aus der Verletzung des Lebens, des Körpers oder der Gesundheit, hinsichtlich der Rechte des Kunden bei arglistig verschwiegenen Mängeln oder vorsätzlich bzw. grob fahrlässig verursachten Schäden bleibt es bei den gesetzlichen Verjährungsfristen.
 
VII. Haftung und Schadensersatz
  1. Unsere Haftung auf Schadensersatz, gleich aus welchem Rechtsgrund, insbesondere aus Unmöglichkeit, Verzug, mangelhafter oder falscher Lieferung, Vertragsverletzung, Verletzung von Pflichten bei Vertragsverhandlungen und unerlaubter Handlung ist, soweit es dabei jeweils auf ein Verschulden ankommt, nach Massgabe dieser Ziff. VII eingeschränkt.
  2. Wir haften nicht im Falle einfacher Fahrlässigkeit unserer Organe, gesetzlichen Vertreter, Angestellten oder sonstigen Erfüllungsgehilfen, soweit es sich nicht um eine Verletzung vertragswesentlicher Pflichten handelt. Vertragswesentlich sind die Verpflichtung zur rechtzeitigen Lieferung und Installation der Ware, deren Freiheit von Mängeln, die ihre Funktionsfähigkeit oder Gebrauchstauglichkeit mehr als nur unerheblich beeinträchtigen, sowie Beratungs-, Schutz- und Obhutspflichten, die dem Kunden die vertragsgemässe Verwendung der Ware ermöglichen sollen oder den Schutz von Leib oder Leben von Personal des Kunden oder den Schutz von dessen Eigentum vor erheblichen Schäden bezwecken.
  3. Soweit wir gemäss Ziff. VII Abs. 2 dem Grunde nach auf Schadensersatz haften, ist diese Haftung auf vertragstypische vorhersehbare Schäden begrenzt, d.h. auf solche Schäden, die wir bei Vertragsschluss als mögliche Folge einer Vertragsverletzung vorausgesehen haben oder die wir bei Anwendung verkehrsüblicher Sorgfalt hätten voraussehen müssen und die bei bestimmungsgemässer Verwendung der Ware typischerweise zu erwarten sind.
  4. Die vorstehenden Haftungsausschlüsse und -beschränkungen gelten in gleichem Umfang zugunsten unserer Organe, gesetzlichen Vertreter, Angestellten und sonstigen Erfüllungsgehilfen.
  5. Soweit wir technische Auskünfte geben oder beratend tätig werden und diese Auskünfte oder Beratung nicht zu dem von uns geschuldeten, vertraglich vereinbarten Leistungsumfang gehören, geschieht dies unentgeltlich und unter Ausschluss jeglicher Haftung.
  6. Der Kunde ist verpflichtet, angemessene Massnahmen zur Schadensabwehr und Schadensminderung zu treffen.
VIII. Verbindlicher Originaltext Der deutsche Originaltext dieser Verkaufsbedingungen ist massgebend. Die französische und englische Übersetzung ist unverbindlich, soweit sie vom deutschen Originaltext abweicht. IX. Schlussbestimmungen
  1. Vorbehaltlich eines anderweitigen ausschliesslichen Gerichtsstands ist der ausschliessliche Gerichtsstand für die Entscheidung aller aus oder im Zusammenhang mit der Geschäftsbeziehung entstehender Streitigkeiten Dietikon, Schweiz. Wir sind jedoch berechtigt, den Kunden an jedem anderen gesetzlichen Gerichtsstand zu verklagen.
  2. Die Rechtsbeziehungen zwischen uns und dem Kunden unterliegen ausschliesslich schweizerischem Recht, unter Ausschluss des Kollisionsrechts und des Übereinkommens der Vereinten Nationen über Verträge über den internationalen Warenkauf vom 11. April 1980 (CISG).
  3. Sollten eine oder mehrere Bestimmungen dieser Verkaufsbedingungen ganz oder teilweise unwirksam sein oder werden, wird dadurch die Wirksamkeit der übrigen Bestimmungen nicht berührt. Die ganz oder teilweise unwirksame Bestimmung soll durch diejenige rechtlich wirksame Bestimmung ersetzt werden, welche der wirtschaftlichen Zielsetzungen der unwirksamen Bestimmung möglichst nahe kommt. Entsprechendes gilt im Falle einer Regelungslücke.
  4. Der Kunde ist nicht berechtigt, Ansprüche aus Verträgen mit uns an Dritte abzutreten.

I. Champ d’application Toutes nos livraisons et prestations sont effectuées exclusivement sur la base des présentes conditions générales de vente et de livraison (ci-après “conditions de vente”). Elles font partie intégrante de tous les contrats que nous concluons avec nos clients pour les livraisons ou les prestations que nous offrons. Elles s’appliquent également, dans leur version en vigueur, à toutes les livraisons ou prestations futures, même si nous ne mentionnons pas leur inclusion séparément dans les cas individuels. En passant une commande ou en acceptant nos livraisons et prestations, le client reconnaît l’application des présentes conditions de vente. II. Offre et conclusion du contrat
  1. Toutes nos offres sont sans engagement et à titre indicatif, sauf mention contraire dans l’offre concernée. De même, les descriptions techniques et autres détails figurant dans les offres, brochures et autres informations sont initialement données à titre indicatif. Les commandes ou ordres du client sont considérés comme une offre contractuelle ferme que nous pouvons accepter dans les trois (3) semaines suivant leur réception par confirmation de commande écrite ou livraison immédiate de marchandises. Un contrat n’est conclu qu’en cas de confirmation de commande écrite de notre part ou livraison de marchandises et est régi exclusivement par le contenu de la confirmation de commande (si elle est émise) et par les présentes conditions de vente. La transmission de la confirmation de commande par courrier électronique ou par télécopie suffit pour respecter la forme écrite.
  2. Les modifications ou compléments de commandes que nous avons déjà acceptées, ainsi que les accords complémentaires et les garanties fournies par notre personnel de vente, nécessitent notre confirmation écrite pour être valables.
  3. En cas de divergence entre la confirmation de commande et les présentes conditions de vente, les clauses de la confirmation de commande prévalent.
  4. Nos indications sur les marchandises à livrer (par exemple, poids, dimensions, valeurs d’usage, capacité de charge, tolérances et données techniques) ainsi que nos représentations de celles-ci (par exemple, dessins et illustrations) ne sont qu’approximatives, à moins qu’une utilisation conforme au but contractuel n’exige une concordance exacte. Il ne s’agit pas de caractéristiques garanties, mais de descriptions ou d’identifications des marchandises à livrer. Les divergences et les écarts usuels qui surviennent en raison de dispositions légales ou qui représentent des améliorations techniques, ainsi que le remplacement de composants par des pièces équivalentes, sont autorisés dans la mesure où ils ne compromettent pas une utilisation conforme au but contractuel.
  5. Nous conservons la propriété et/ou les droits d’auteur sur toutes les offres et devis que nous avons présentés ainsi que sur les dessins, illustrations, calculs, brochures, catalogues, modèles, œuvres et autres documents et supports mis à la disposition du client. Le client ne peut pas, sans notre consentement explicite, mettre ces éléments à la disposition de tiers, ni les utiliser ou les reproduire à d’autres fins que l’achat de marchandises chez nous. À notre demande, il doit nous restituer intégralement ces éléments et les éventuelles copies qui en ont été faites ou les détruire. Ceci vaut également si ces éléments ne sont plus nécessaires à l’exercice normal de ses activités ou si les négociations n’aboutissent pas à la conclusion d’un contrat.
III. Prix, conditions de paiement, compensation et droit de rétention
  1. Les prix sont valables pour l’étendue des livraisons et prestations telles que mentionnées dans les confirmations de commande. Les services supplémentaires ou spéciaux seront facturés séparément. Les prix sont indiqués en CHF Free Carrier (“FCA au siège social de SFC KOENIG AG, Dietikon, Suisse” conformément aux Incoterms 2020), hors emballage, taxe sur la valeur ajoutée, ainsi qu’hors frais et autres redevances publiques ; en cas de livraisons à l’exportation, les droits de douane sont en sus.
  2. Si la livraison ou la prestation est effectuée plus de quatre (4) mois après la conclusion du contrat et si des augmentations de coûts imprévisibles dont nous ne sommes pas responsables sont survenues après la conclusion du contrat, nous sommes en droit, à notre discrétion raisonnable, de répercuter ces coûts supplémentaires en augmentant proportionnellement le prix convenu. La répercussion des coûts supplémentaires doit être effectuée de telle sorte que notre bénéfice brut soit maintenu, c’est-à-dire qu’il n’augmente pas. Seuls les coûts supplémentaires réellement encourus peuvent être répercutés sur le client. Si le prix net de nos livraisons et prestations, dû par le client selon ce mode de calcul, dépasse de 100 % le prix net initialement convenu, le client a le droit de résilier le contrat, auquel cas il doit nous verser une indemnité forfaitaire de 15 % du prix d’achat brut. Le client est libre de prouver que nous n’avons subi aucun dommage ou que le dommage subi suite à la résiliation est moindre.
  3. Les montants des factures doivent être payés dans les trente (30) jours sans déduction, sauf accord contraire écrit. Si le client n’effectue pas le paiement à l’échéance, il est en demeure sans qu’une mise en demeure préalable ne soit nécessaire. Dans ce cas, nous sommes en droit de demander des intérêts de retard au taux légal. Le droit de faire valoir d’autres dommages découlant du retard est réservé.
  4. La compensation avec des contre-prétentions du client n’est autorisée que dans la mesure où ses prétentions ont été reconnues par nous, sont incontestables ou ont été constatées par jugement exécutoire. Le client ne peut exercer un droit de rétention que si sa contre-prétention résulte de la même relation contractuelle et a été reconnue par nous, est incontestée ou a été constatée par jugement exécutoire. En cas de défauts, les contre-prétentions du client demeurent intactes.
IV. Livraison, délai de livraison, force majeure et livraison partielle
  1. Les livraisons sont effectuées Free Carrier (“FCA au siège social de SFC KOENIG AG, Dietikon, Suisse” conformément aux Incoterms 2020). Toutes les obligations de livraison et de prestations existent sous réserve de notre approvisionnement correct et ponctuel, à moins que nous ne puissions être tenus responsables de notre approvisionnement incorrect ou retardé.
  2. Les délais et dates de livraison et de prestations prévus sont approximatifs, sauf accord contraire. Si l’expédition a été convenue, les délais et dates de livraison se rapportent au moment de la remise au transitaire, au transporteur ou à un autre tiers chargé du transport. Les délais et dates de livraison et de prestations prévus ne commencent à courir qu’après clarification de tous les détails de l’exécution.
  3. Nous pouvons – sans préjudice de nos autres droits – imposer au client une prolongation des délais de livraison et de prestations ou un report des dates de livraison et de prestations correspondant à la période pendant laquelle le client ne remplit pas ses obligations contractuelles à notre égard.
  4. Nous ne répondons pas de l’impossibilité ou du retard de livraison ou de prestation dans la mesure où cette impossibilité ou ce retard est dû à un cas de force majeure ou à d’autres événements imprévisibles au moment de la conclusion du contrat (par exemple, perturbations opérationnelles de toute nature, difficultés d’approvisionnement en matériaux ou en énergie, retards de transport, grèves, lock-out légaux, pénurie de main-d’œuvre, d’énergie ou de matières premières, difficultés d’obtention des autorisations officielles nécessaires ou de mesures officielles) qui ne nous sont pas imputables. Si de tels événements rendent la livraison ou l’exécution de nos prestations considérablement plus difficiles ou impossibles et si l’empêchement n’est pas seulement de durée temporaire, nous sommes en droit de résilier le contrat. En cas d’entraves de durée temporaire, les délais de livraison ou de prestation sont prolongés ou reportés d’une durée correspondant à la durée de l’entrave plus une période de reprise raisonnable. Dans la mesure où, en raison du retard, l’on ne peut raisonnablement attendre du client qu’il accepte la livraison ou la prestation, celui-ci peut résilier le contrat par déclaration écrite immédiate
  5. Nous sommes autorisés à effectuer des livraisons ou des prestations partielles dans la mesure où celles-ci sont raisonnablement acceptables pour le client.
V. Lieu d’exécution, expédition, emballage, transfert des risques et acceptation
  1. Le lieu d’exécution de toutes les obligations découlant de la relation contractuelle est, sauf indication contraire, notre siège social à 8953 Dietikon, en Suisse.
  2. Dans la mesure où, à la demande du client, nous entreprenons l’expédition de la marchandise, celle-ci a lieu aux frais et aux risques du client. Sans instructions du client quant au mode d’expédition et d’emballage, l’expédition et l’emballage sont effectués à notre discrétion.
  3. Le risque de perte accidentelle ou de détérioration accidentelle est transféré au client au plus tard lors de la remise de la marchandise (le début du chargement étant déterminant) au transitaire, au transporteur ou à tout autre tiers désigné pour effectuer l’expédition au client. Cela s’applique également si des livraisons partielles sont effectuées ou si nous avons pris en charge d’autres services (par exemple, l’expédition).
  4. Si l’expédition ou le transfert est retardé en raison de circonstances dont nous ne sommes pas responsables ou si le client nous informe avant la livraison qu’il n’acceptera pas la marchandise, le risque est transféré au client à la date de l’avis indiquant que la livraison est prête à être expédiée.
  5. Si une réception a été convenue, celle-ci est déterminante pour le transfert des risques. Pour le surplus, les dispositions légales sur le contrat d’entreprise s’appliquent à une telle réception.
  6. Les frais de stockage après le transfert des risques sont à la charge du client. En cas de stockage par nos soins, ces frais s’élèvent à 0,25 % du montant de la facture des marchandises à stocker par semaine écoulée. Le droit de faire valoir et la preuve des frais de stockage supplémentaires ou inférieurs demeurent réservés.
  7. L’envoi ne sera assuré par nous contre le vol, la casse, les dégâts de transport, de feu et d’eau ou d’autres risques assurables qu’à la demande expresse du client et à ses frais.
VI. Responsabilité pour les défauts
  1. La marchandise livrée doit être soigneusement inspectée sans délai après sa livraison au client ou au tiers désigné par le client. La marchandise est considérée comme acceptée par le client en ce qui concerne les défauts apparents ou d’autres défauts qui auraient été décelables au cours d’une inspection immédiate et minutieuse, si nous ne recevons pas immédiatement après la livraison et la découverte du défaut un avis de défaut écrit. En ce qui concerne les autres défauts, la marchandise livrée est réputée avoir été acceptée par le client si l’avis de défaut écrit ne nous est pas parvenu sans délai après l’apparition du défaut.
  2. Nous garantissons que la marchandise livrée présente la qualité convenue. La qualité convenue se détermine exclusivement en fonction des accords spécifiques conclus par écrit entre nous et le client ou de nos confirmations relatives à ses propriétés, caractéristiques et performances. Nous n’assumons aucune responsabilité pour les déclarations publiques faites par des tiers non autorisés par nous. Les dispositions légales relatives au fardeau de l’allégation et au fardeau de la preuve en cas de défaut restent pour le surplus inchangées. Les déclarations descriptives ou explicatives concernant les marchandises ou leur utilisation prévue ainsi que les déclarations publiques ne doivent pas être considérées comme une assurance ou garantie d’une qualité particulière de la marchandise. Un accord écrit ou une confirmation écrite de notre part fait foi pour le contenu de ces assurances ou garanties.
  3. En cas de défauts de la marchandise livrée, nous sommes dans un premier temps obligés et autorisés, dans un délai raisonnable, de choisir entre la réparation ou le remplacement (ci-après dénommé « exécution ultérieure »). L’exécution ultérieure ne comprend ni l’enlèvement de la marchandise défectueuse ni la réinstallation lorsque nous n’étions pas initialement tenus de l’installer. À notre demande, le client nous enverra les marchandises présentant des défauts couverts par la garantie et nous donnera le temps et la possibilité nécessaires à une exécution ultérieure. Les frais de matériel, de transport, de main-d’œuvre et, le cas échéant, d’installation et d’enlèvement encourus aux fins de l’exécution ultérieure seront à notre charge dans les limites des dispositions légales, à condition que les défauts aient été dûment invoqués. Si un avis des défauts du client s’avère injustifié et que le client l’a reconnu ou a omis de le reconnaître par négligence, le client est tenu de nous rembourser les frais encourus en résultant. En cas d’échec, c’est-à-dire d’impossibilité d’exécution, de non-exigibilité, de refus ou de retard injustifié de l’exécution ultérieure, le client peut résilier le contrat en ce qui concerne la partie défectueuse de la livraison ou en réduire raisonnablement le prix. Les droits du client à des dommages et intérêts ou au remboursement de dépenses inutiles n’existent qu’en cas de défauts conformément au chiffre VII et sont pour le surplus exclus.
  4. Dans les cas urgents uniquement ou pour prévenir d’importants dommages excessifs ou lorsque nous sommes en retard dans l’élimination du défaut, le client a le droit, après nous avoir immédiatement informés, d’éliminer lui-même le défaut ou de le faire éliminer par des tiers et de nous demander le remboursement des frais nécessaires. Nous devons être informés immédiatement de toute exécution par substitution, si possible à l’avance. Le droit à une exécution par substitution n’existe pas si nous aurions été en droit de refuser une exécution ultérieure conformément aux dispositions légales. Nous n’assumons aucune responsabilité en cas de dommages causés par une utilisation inadéquate ou inappropriée, une mauvaise manipulation ou l’usure naturelle, pour autant que les dommages ne nous soient pas imputables.
  5. La garantie ne s’applique pas si le client modifie la marchandise livrée ou la fait modifier par des tiers sans notre consentement et que la réparation des défauts est de ce fait rendue impossible ou excessivement difficile. En tout état de cause, le client doit supporter les coûts de réparation supplémentaires résultant d’une telle modification.
  6. Le délai de prescription des droits de garantie en cas de défauts est d’un (1) an à compter du transfert du risque. Dans la mesure où la loi prescrit un délai de prescription impératif plus long, tout comme en cas de demande de dommages et intérêts résultant d’une atteinte à la vie, à l’intégrité physique ou à la santé et en matière de droits des consommateurs relatifs à des défauts dissimulés frauduleusement ou dommages causés intentionnellement ou par négligence grave, les délais de prescription légaux s’appliquent.
VII. Responsabilité et dommages et intérêts
  1. Notre responsabilité en matière de dommages et intérêts, quel que soit le fondement juridique, notamment en cas d’impossibilité, de retard, de livraison défectueuse ou incorrecte, de violation de contrat, de violations de devoirs lors de négociations contractuelles et d’actes illicites, est limitée conformément aux dispositions du présent chiffre VII dans la mesure où une faute a été commise dans chaque cas.
  2. Nous ne répondons pas des négligences simples de nos organes, représentants légaux, employés ou autres auxiliaires, tant qu’il ne s’agit pas d’une violation d’obligations contractuelles essentielles. Les obligations contractuelles essentielles sont l’obligation de livrer et d’installer la marchandise à temps, l’absence de défauts qui altèrent de manière significative la fonctionnalité ou la facilité d’utilisation de la marchandise, ainsi que les obligations de conseil, de protection et de garde qui visent à permettre au client d’utiliser la marchandise conformément au contrat ou à protéger la vie et l’intégrité corporelle du personnel du client ou à protéger la propriété du client contre des dommages importants.
  3. Dans la mesure où nous sommes en principe responsables en matière de dommages-intérêts conformément au chiffre VII, paragraphe 2, cette responsabilité est limitée aux dommages prévisibles typiques du contrat, c’est-à-dire aux dommages que nous avons prévus comme conséquence possible d’une violation de contrat au moment de la conclusion du contrat ou que nous aurions dû prévoir si nous avions fait preuve de la diligence requise et qui sont typiquement à prévoir lorsque les marchandises sont utilisées pour l’usage auquel elles sont destinées.
  4. Les exclusions et limitations de responsabilité ci-dessus s’appliquent dans la même mesure en faveur de nos organes, représentants légaux, employés et autres auxiliaires.
  5. Dans la mesure où nous fournissons des informations techniques ou agissons à titre consultatif et que ces informations ou conseils ne font pas partie de l’étendue des prestations contractuellement convenues, cela est fait gratuitement et à l’exclusion de toute responsabilité.
  6. Le client est tenu de prendre les mesures appropriées pour prévenir et réduire les dommages.
VIII. Texte original contraignant Le texte original allemand des présentes conditions de vente fait foi. Les traductions française et anglaise ne sont pas contraignantes dans la mesure où elles s’écartent du texte original allemand. IX. Dispositions finales
  1. Sous réserve d’un autre for exclusif, les tribunaux de Dietikon, Suisse, sont exclusivement compétents pour connaitre de tous les litiges découlant de la relation d’affaires ou en relation avec celle-ci. Toutefois, nous sommes en droit de poursuivre le client à tout autre for prévu par la loi.
  2. Les relations juridiques entre nous et le client sont régies exclusivement par le droit suisse, à l’exclusion des règles de conflit de lois et de la Convention des Nations Unies sur les contrats de vente internationale de marchandises du 11 avril 1980 (CVIM).
  3. Dans le cas où une ou plusieurs dispositions des présentes conditions de vente seraient ou deviendraient invalides en tout ou en partie, cette invalidité n’affecterait pas la validité des autres dispositions. La disposition totalement ou partiellement invalide doit être remplacée par une disposition juridiquement valable qui se rapproche le plus possible de l’objectif économique de la disposition invalide. Il en va de même en cas de lacune des présentes.
  4. Le client n’est pas autorisé à céder les prétentions résultant de contrats conclus avec nous à des tiers.

I. Geltungsbereich
Alle unsere Lieferungen und Leistungen erfolgen ausschließlich auf Grundlage dieser Allgemeinen Verkaufs- und Lieferbedingungen (im Folgenden „Verkaufsbedingungen“). Sie sind Bestandteil aller Verträge, die wir mit unseren Kunden über die von uns angebotenen Lieferungen oder Leistungen abschließen. Sie gelten in ihrer jeweiligen Fassung auch für alle zukünftigen Lieferungen oder Leistungen, selbst wenn wir auf ihre Einbeziehung im Einzelfall nicht gesondert hinweisen. Mit Abgabe der Bestellung oder der Entgegennahme unserer Lieferungen und Leistungen erkennt der Kunde die Geltung dieser Verkaufsbedingungen an. II. Angebot und Vertragsschluss
  1. Alle unsere Angebote sind freibleibend und unverbindlich, sofern sich aus dem jeweiligen Angebot nicht etwas anderes ergibt. Ebenso sind technische Beschreibungen und sonstige Angaben in Angeboten, Prospekten und sonstigen Informationen zunächst unverbindlich. Bestellungen oder Aufträge des Kunden gelten als verbindliches Vertragsangebot und können von uns innerhalb von drei (3) Wochen nach Zugang mit unserer schriftlichen Auftragsbestätigung bzw. unserer sofortigen Warenlieferung angenommen werden. Ein Vertrag kommt nur durch unsere schriftliche Auftragsbestätigung bzw. die Warenlieferung zustande und richtet sich ausschließlich nach dem Inhalt der Auftragsbestätigung (sofern eine solche erteilt wird) und diesen Verkaufsbedingungen. Zur Wahrung der Schriftform genügt die Übermittlung der Auftragsbestätigung per E-Mail oder Fax.
  2. Abänderungen oder Ergänzungen bereits angenommener Bestellungen bedürfen, wie auch Nebenabreden und Garantien unserer Verkaufsangestellten, zu ihrer Wirksamkeit unserer schriftlichen Bestätigung.
  3. Bei Abweichungen zwischen der Auftragsbestätigung und diesen Verkaufsbedingungen gehen die Regelungen der Auftragsbestätigung vor.
  4. Unsere Angaben zu der zu liefernden Ware (z.B. Gewichte, Maße, Gebrauchswerte, Belastbarkeit, Toleranzen und technische Daten) sowie unsere Darstellungen derselben (z.B. Zeichnungen und Abbildungen) sind nur annähernd maßgeblich, soweit nicht die Verwendbarkeit zum vertraglich vorgesehenen Zweck eine genaue Übereinstimmung voraussetzt. Sie sind keine garantierten Beschaffenheitsmerkmale, sondern Beschreibungen oder Kennzeichnungen der zu liefernden Ware. Handelsübliche Abweichungen und Abweichungen, die aufgrund rechtlicher Vorschriften erfolgen oder technische Verbesserungen darstellen, sowie die Ersetzung von Bauteilen durch gleichwertige Teile sind zulässig, soweit sie die Verwendbarkeit zum vertraglich vorgesehenen Zweck nicht beeinträchtigen.
  5. Wir behalten uns das Eigentum und/oder Urheberrecht an allen von uns abgegebenen Angeboten und Kostenvoranschlägen sowie dem Kunden zur Verfügung gestellten Zeichnungen, Abbildungen, Berechnungen, Prospekten, Katalogen, Modellen, Werkzeugen und anderen Unterlagen und Hilfsmitteln vor. Der Kunde darf diese Gegenstände ohne unsere ausdrückliche Zustimmung weder Dritten zugänglich machen noch für andere Zwecke als den Einkauf von Ware bei uns nutzen oder vervielfältigen. Er hat auf unser Verlangen diese Gegenstände und eventuell gefertigte Kopien vollständig an uns zurückzugeben oder zu vernichten. Dies gilt auch wenn die Gegenstände von ihm im ordnungsgemäßen Geschäftsgang nicht mehr benötigt werden oder wenn Verhandlungen nicht zum Abschluss eines Vertrages führen.
III. Preise, Zahlungsbedingungen, Aufrechnung und Zurückbehaltungsrecht
  1. Die Preise gelten für den in den Auftragsbestätigungen aufgeführten Liefer- und Leistungsumfang. Mehr- oder Sonderleistungen werden gesondert berechnet. Die Preise verstehen sich in EURO Free Carrier („FCA deutsches Lager SFC KOENIG, Illerrieden“ gemäß Incoterms 2020), exklusive Verpackung, der gesetzlichen Umsatzsteuer, sowie exklusive Gebühren und anderer öffentlicher Abgaben; bei Exportlieferungen zuzüglich Zoll.
  2. Erfolgt die Lieferung oder Leistung erst mehr als vier (4) Monate nach Vertragsschluss und sind nach dem Vertragsschluss nicht vorhersehbare und von uns nicht zu vertretende Kostensteigerungen im Hinblick auf unsere Lieferungen und Leistungen eingetreten, so sind wir nach billigem Ermessen zur Weitergabe der höheren Kosten durch entsprechende anteilige Erhöhung des vereinbarten Preises berechtigt. Die Weitergabe der höheren Kosten erfolgt derart, dass unser absoluter Gewinn erhalten bleibt, d.h. nicht erhöht wird. Lediglich die tatsächlich eingetretenen Mehrkosten können von uns an den Kunden weitergegeben werden. Sollte der Nettopreis für unsere Lieferungen und Leistungen, den der Kunde an uns nach dieser Berechnung zu entrichten hat, 100% des ursprünglich vereinbarten Nettopreises übersteigen, so steht dem Kunden das Recht zu, vom Vertrag zurücktreten, wobei der Kunde uns im Falle des Rücktritts vom Vertrag eine Pauschalentschädigung von 15 % des Bruttokaufpreises zu zahlen hat. Dem Kunden bleibt es unbenommen nachzuweisen, dass uns durch den Rücktritt kein Schaden oder aber ein geringerer Schaden entstanden ist.
  3. Rechnungsbeträge sind innerhalb von dreißig (30) Tagen ohne Abzug zu bezahlen, sofern nicht etwas anderes schriftlich vereinbart ist. Leistet der Kunde bei Fälligkeit nicht, so gerät der Kunde in Verzug, ohne dass es einer vorherigen Mahnung bedarf. Wir sind in diesem Fall berechtigt, Verzugszinsen in gesetzlicher Höhe zu verlangen. Die Geltendmachung darüber hinausgehender Verzugsschäden bleibt unberührt.
  4. Die Aufrechnung mit Gegenansprüchen des Kunden ist nur zulässig, soweit die Gegenansprüche von uns anerkannt, unbestritten oder rechtskräftig festgestellt sind. Zur Ausübung eines Zurückbehaltungsrechts ist der Kunde nur dann berechtigt, wenn sein Gegenanspruch auf demselben Vertragsverhältnis beruht und von uns anerkannt wurde, unbestritten ist oder rechtskräftig festgestellt wurde. Bei Mängeln bleiben die Gegenrechte des Kunden unberührt.
IV. Lieferung, Lieferzeit, höhere Gewalt und Teillieferung
  1. Lieferungen erfolgen Free Carrier („FCA deutsches Lager SFC KOENIG, Illerrieden“ gemäß Incoterms 2020). Sämtliche Liefer- und Leistungsverpflichtungen stehen unter dem Vorbehalt der richtigen und rechtzeitigen Selbstbelieferung, es sei denn, die unrichtige oder verspätete Selbstbelieferung ist von uns zu vertreten.
  2. Von uns in Aussicht gestellte Fristen und Termine für Lieferungen und Leistungen gelten stets nur annähernd, sofern wir nichts anderes vereinbart haben. Sofern Versendung vereinbart wurde, beziehen sich Lieferfristen und Liefertermine auf den Zeitpunkt der Übergabe an den Spediteur, Frachtführer oder den sonst mit dem Transport beauftragten Dritten. Von uns in Aussicht gestellte Fristen und Termine für Lieferungen und Leistungen beginnen erst nach restloser Klärung aller Ausführungsdetails zu laufen.
  3. Wir können – unbeschadet unserer sonstigen Rechte – vom Kunden eine Verlängerung von Liefer- und Leistungsfristen oder eine Verschiebung von Liefer- und Leistungsterminen um den Zeitraum verlangen, in dem der Kunde seinen vertraglichen Verpflichtungen uns gegenüber nicht nachkommt.
  4. Wir haften nicht für Unmöglichkeit oder Verzögerung der Lieferung oder Leistung, soweit diese durch höhere Gewalt oder sonstige, zum Zeitpunkt des Vertragsabschlusses nicht vorhersehbare Ereignisse (z.B. Betriebsstörungen aller Art, Schwierigkeiten in der Material- oder Energiebeschaffung, Transportverzögerungen, Streiks, rechtmäßige Aussperrungen, Mangel an Arbeitskräften, Energie oder Rohstoffen, Schwierigkeiten bei der Beschaffung von notwendigen behördlichen Genehmigungen oder behördliche Maßnahmen) verursacht worden sind, die wir nicht zu vertreten haben. Sofern uns solche Ereignisse die Lieferung oder Leistung wesentlich erschweren oder unmöglich machen und die Behinderung nicht nur von vorübergehender Dauer ist, sind wir zum Rücktritt vom Vertrag berechtigt. Bei Hindernissen vorübergehender Dauer verlängern sich die Liefer- oder Leistungsfristen oder verschieben sich die Liefer- oder Leistungstermine um den Zeitraum der Behinderung zuzüglich einer angemessenen Anlauffrist. Soweit dem Kunden infolge der Verzögerung die Abnahme der Lieferung oder Leistung nicht zuzumuten ist, kann er durch unverzügliche schriftliche Erklärung gegenüber uns vom Vertrag zurücktreten.
  5. Wir sind zu Teillieferungen oder Teilleistungen berechtigt, soweit diese für den Kunden zumutbar sind.
V. Eigentumsvorbehalt
  1. Die von uns an den Kunden gelieferte Ware bleibt bis zur vollständigen Bezahlung aller bestehenden derzeitigen und künftigen Forderungen gegen den Kunden aus der zwischen uns und dem Kunden bestehenden Geschäftsbeziehung unser Eigentum (im Folgenden „Vorbehaltsware“). Bei mehreren Forderungen oder laufender Rechnung gilt der Eigentumsvorbehalt zur Sicherung der uns jeweils zustehenden Saldoforderungen.
  2. Der Kunde verwahrt die Vorbehaltsware unentgeltlich für uns. Der Kunde ist verpflichtet, die Vorbehaltsware für die Dauer des Eigentumsvorbehaltes sorgfältig zu behandeln. Er muss die Vorbehaltsware auf seine Kosten angemessen zum Neuwert versichern, uns den entsprechenden Versicherungsnachweis erbringen und die Ansprüche aus der Versicherung an uns abtreten.
  3. Wird die Vorbehaltsware vom Kunden verarbeitet, so wird vereinbart, dass die Verarbeitung in unserem Namen und für unsere Rechnung als Hersteller erfolgt und wir unmittelbar das Eigentum oder – wenn die Verarbeitung aus Stoffen mehrerer Eigentümer erfolgt oder der Wert der verarbeiteten Sache höher ist als der Wert der Vorbehaltsware – das Miteigentum (Bruchteilseigentum) an der neu geschaffenen Sache im Verhältnis des Werts der Vorbehaltsware zum Wert der neu geschaffenen Sache erwerben. Für den Fall, dass kein solcher Eigentumserwerb bei uns eintreten sollte, überträgt der Kunde bereits jetzt sein künftiges Eigentum oder – im o.g. Verhältnis – Miteigentum an der neu geschaffenen Sache zur Sicherheit an uns. Wird die Vorbehaltsware mit anderen Sachen zu einer einheitlichen Sache verbunden oder untrennbar vermischt, so erwerben wir das Miteigentum an der neuen Sache im Verhältnis des Wertes der Vorbehaltsware zu den anderen Sachen zum Zeitpunkt der Vermischung oder Verbindung. Erfolgt die Vermischung oder Verbindung in der Weise, dass die Sache des Kunden als Hauptsache anzusehen ist, so gilt als vereinbart, dass der Kunde uns anteilmäßig Miteigentum überträgt. Das so entstandene Miteigentum wird der Kunde für uns unentgeltlich verwahren.
  4. Der Kunde ist berechtigt, die Vorbehaltsware bis zum Eintritt des Verwertungsfalls (Ziff. V Abs. 8) im ordnungsgemäßen Geschäftsgang zu verarbeiten und zu veräußern. Verpfändungen, Sicherungsübereignungen oder sonstige unser Eigentum gefährdende Verfügungen sind unzulässig. Im Falle der Weiterveräußerung der Vorbehaltsware tritt der Kunde bereits jetzt sicherungshalber die hieraus entstehende Forderung gegen den Erwerber an uns ab. Wir nehmen diese Abtretung an. Gleiches gilt für sonstige Forderungen, die an die Stelle der Vorbehaltsware treten oder sonst hinsichtlich der Vorbehaltsware entstehen, wie z.B. Versicherungsansprüche oder Ansprüche aus unerlaubter Handlung bei Verlust oder Zerstörung. Veräußert der Kunde die Vorbehaltsware nach Verarbeitung oder nach Verbindung, Vermischung oder Vermengung mit anderen Waren oder zusammen mit anderen Waren, so gilt die Forderungsabtretung nur in Höhe des Teils als vereinbart, der dem zwischen uns und dem Kunden vereinbarten Kaufpreis zuzüglich einer Sicherheitsmarge von 10 % dieses Preises entspricht. Wir ermächtigen den Kunden widerruflich, die an uns abgetretenen Forderungen im eigenen Namen einzuziehen. Wir dürfen diese Einzugsermächtigung sowie die Berechtigung zur Weiterveräußerung im Verwertungsfall (Ziff. V Abs. 8) widerrufen.
  5. Der Kunde hat uns jederzeit alle gewünschten Informationen über die Vorbehaltsware oder unsere Ansprüche zu erteilen, die hiernach an uns abgetreten sind.
  6. Greifen Dritte auf die Vorbehaltsware zu, insbesondere durch Pfändung, wird der Kunde sie unverzüglich auf unser Eigentum hinweisen und uns hierüber informieren, um uns die Durchsetzung unserer Eigentumsrechte zu ermöglichen. Sofern der Dritte nicht in der Lage ist, uns die in diesem Zusammenhang entstehenden gerichtlichen oder außergerichtlichen Kosten zu erstatten, haftet uns hierfür der Kunde, soweit die Durchsetzung erfolgreich war und wir die Vollstreckung der Kosten bei dem Dritten erfolglos versucht haben.
  7. Der Kunde ist berechtigt Freigabe zu verlangen, soweit die Vorbehaltsware sowie die an ihre Stelle tretenden Sachen oder Forderungen die Höhe der gesicherten Forderungen um mehr als 10 % übersteigt. Die Auswahl der danach freizugebenden Gegenstände liegt bei uns.
  8. Treten wir bei vertragswidrigem Verhalten des Kunden – insbesondere Zahlungsverzug, wenn gegen den Kunden Zwangsvollstreckungsmaßnahmen ergriffen werden, oder wenn über sein Vermögen das Insolvenzverfahren eröffnet oder dessen Eröffnung mangels Masse abgelehnt wird – vom Vertrag zurück (Verwertungsfall), so sind wir berechtigt, die Vorbehaltsware heraus zu verlangen oder die gesicherten Forderungen selbst einzuziehen.
VI. Erfüllungsort, Versand, Verpackung, Gefahrübergang und Abnahme
  1. Erfüllungsort für alle Verpflichtungen aus dem Vertragsverhältnis ist unser Firmensitz in 89186 Illerieden, soweit nichts anderes bestimmt ist.
  2. Sofern wir auf Wunsch des Kunden den Versand der Ware übernehmen, erfolgt der Versand auf Kosten und Risiko des Kunden. Sofern uns der Kunde hinsichtlich Versandart und Verpackung keine Weisungen erteilt, erfolgt Versand und Verpackung nach unserem pflichtgemäßen Ermessen.
  3. Die Gefahr des zufälligen Untergangs oder der zufälligen Verschlechterung geht spätestens mit der Übergabe der Ware (wobei der Beginn des Verladevorgangs maßgeblich ist) an den Spediteur, Frachtführer oder den sonst zur Ausführung der Versendung bestimmten Dritten auf den Kunden über. Dies gilt auch dann, wenn Teillieferungen erfolgen oder wir noch andere Leistungen (z.B. Versand) übernommen haben.
  4. Verzögert sich der Versand oder die Übergabe infolge eines Umstandes, den wir nicht zu vertreten haben oder teilt der Kunde uns bereits im Vorfeld der Lieferung mit, dass er die Ware nicht annehmen wird, so geht die Gefahr am Tage der Mitteilung der Versandbereitschaft der Lieferung auf den Kunden über.
  5. Soweit eine Abnahme vereinbart ist, ist diese für den Gefahrübergang maßgebend. Auch im Übrigen gelten für eine vereinbarte Abnahme die gesetzlichen Vorschriften des Werkvertragsrechts entsprechend.
  6. Lagerkosten nach Gefahrübergang trägt der Kunde. Bei Lagerung durch uns betragen die Lagerkosten 0,25 % des Rechnungsbetrages der zu lagernden Ware pro abgelaufener Woche. Die Geltendmachung und der Nachweis weiterer oder geringerer Lagerkosten bleiben vorbehalten.
  7. Die Sendung wird von uns nur auf ausdrücklichen Wunsch des Kunden und auf seine Kosten gegen Diebstahl, Bruch-, Transport-, Feuer- und Wasserschäden oder sonstige versicherbare Risiken versichert.
VII. Mängelhaftung
  1. Die gelieferte Ware ist unverzüglich nach Ablieferung an den Kunden oder an den von ihm bestimmten Dritten sorgfältig zu untersuchen. Die Ware gilt hinsichtlich offensichtlicher Mängel oder anderer Mängel, die bei einer unverzüglichen, sorgfältigen Untersuchung erkennbar gewesen wären, als vom Kunden genehmigt, wenn uns nicht unverzüglich nach Ablieferung und dem Zeigen des Mangels eine schriftliche Mängelrüge zugeht. Hinsichtlich anderer Mängel gilt die gelieferte Ware als vom Kunden genehmigt, wenn die schriftliche Mängelrüge uns nicht unverzüglich nach dem Zeitpunkt zugeht, in dem sich der Mangel zeigte.
  2. Wir gewährleisten, dass die gelieferte Ware die vereinbarte Beschaffenheit aufweist. Die vereinbarte Beschaffenheit bemisst sich ausschließlich nach den zwischen uns und dem Kunden schriftlich getroffenen konkreten Vereinbarungen oder unseren Bestätigungen über die Eigenschaften, Merkmale und Leistungscharakteristika. Für öffentliche Äußerungen Dritter, die von uns nicht autorisiert sind, übernehmen wir keine Haftung. Die gesetzlichen Regelungen zur Darlegungs- und Beweislast bei Mängeln bleiben im Übrigen unberührt. Beschreibende oder erläuternde Angaben hinsichtlich der Ware oder deren Verwendungszweck sowie öffentliche Äußerungen sind nicht als Garantie für eine besondere Beschaffenheit der Ware zu verstehen. Für den Inhalt derartiger Beschaffenheitsgarantien ist eine schriftliche Vereinbarung oder eine schriftliche Bestätigung durch uns maßgeblich.
  3. Bei Mängeln der gelieferten Ware sind wir nach unserer innerhalb angemessener Frist zu treffenden Wahl zunächst zur Nachbesserung oder Ersatzlieferung (im Folgenden „Nacherfüllung“) verpflichtet und berechtigt. Die Nacherfüllung beinhaltet weder den Ausbau der mangelhaften Waren noch den erneuten Einbau, wenn wir nicht ursprünglich zum Einbau verpflichtet waren. Der Kunde wird auf unser Verlangen mit gewährleistungspflichtigen Mängeln behaftete Waren an uns übersenden und uns die für die Nacherfüllung notwendige Zeit und Gelegenheit einräumen. Die zum Zwecke der Nacherfüllung anfallenden Material-, Transport-, Arbeits- und ggf. Einbau- und Ausbaukosten übernehmen wir im Umfang der gesetzlichen Bestimmungen, sofern die Mängel berechtigterweise geltend gemacht werden. Erweist sich eine Mängelrüge des Kunden als unberechtigt und hat der Kunde dies erkannt oder fahrlässig nicht erkannt, so ist der Kunde uns zum Ersatz der hierdurch entstandenen Aufwendungen verpflichtet. Im Falle des Fehlschlagens, d.h. der Unmöglichkeit, Unzumutbarkeit, Verweigerung oder unangemessenen Verzögerung der Nacherfüllung, kann der Kunde hinsichtlich des mangelhaften Teils der Lieferung vom Vertrag zurücktreten oder den Preis angemessen mindern. Ansprüche des Kunden auf Schadensersatz bzw. Ersatz vergeblicher Aufwendungen bestehen auch bei Mängeln nur nach Maßgabe von Ziff. VIII und sind im Übrigen ausgeschlossen.
  4. Nur in dringenden Fällen oder zu Abwehr unverhältnismäßig großer Schäden oder, wenn wir mit der Beseitigung des Mangels in Verzug sind, hat der Kunde das Recht, nach unverzüglicher Mitteilung an uns den Mangel selbst oder durch Dritte beseitigen zu lassen und von uns den Ersatz der notwendigen Kosten zu verlangen. Von einer derartigen Ersatzvornahme sind wir unverzüglich, nach Möglichkeit vorher, zu benachrichtigen. Das Selbstvornahmerecht besteht nicht, wenn wir berechtigt wären, eine entsprechende Nacherfüllung nach den gesetzlichen Vorschriften zu verweigern. Wir übernehmen keine Gewähr für Schäden, die durch ungeeignete oder unsachgemäße Verwendung, fehlerhafte Behandlung oder durch natürliche Abnutzung entstehen, sofern die Schäden nicht von uns zu vertreten sind.
  5. Die Gewährleistung entfällt, wenn der Kunde ohne unsere Zustimmung die gelieferte Ware ändert oder durch Dritte ändern lässt und die Mängelbeseitigung hierdurch unmöglich oder unzumutbar erschwert wird. In jedem Fall hat der Kunde die durch die Änderung entstehenden Mehrkosten der Mängelbeseitigung zu tragen.
  6. Die Verjährungsfrist für Mängelhaftungsansprüche beträgt ein (1) Jahr ab Gefahrübergang. Soweit das Gesetz zwingend eine längere Verjährungsfrist vorschreibt (§ 445b BGB), sowie für Schadensersatzansprüche aus der Verletzung des Lebens, des Körpers oder der Gesundheit, hinsichtlich der Rechte des Kunden bei arglistig verschwiegenen Mängeln oder vorsätzlich bzw. grob fahrlässig verursachten Schäden bleibt es bei den gesetzlichen Verjährungsfristen.
VIII. Haftung und Schadensersatz
  1. Unsere Haftung auf Schadensersatz, gleich aus welchem Rechtsgrund, insbesondere aus Unmöglichkeit, Verzug, mangelhafter oder falscher Lieferung, Vertragsverletzung, Verletzung von Pflichten bei Vertragsverhandlungen und unerlaubter Handlung ist, soweit es dabei jeweils auf ein Verschulden ankommt, nach Maßgabe dieser Ziff. VIII eingeschränkt.
  2. Wir haften nicht im Falle einfacher Fahrlässigkeit unserer Organe, gesetzlichen Vertreter, Angestellten oder sonstigen Erfüllungsgehilfen, soweit es sich nicht um eine Verletzung vertragswesentlicher Pflichten handelt. Vertragswesentlich sind die Verpflichtung zur rechtzeitigen Lieferung und Installation der Ware, dessen Freiheit von Mängeln, die ihre Funktionsfähigkeit oder Gebrauchstauglichkeit mehr als nur unerheblich beeinträchtigen, sowie Beratungs-, Schutz- und Obhutspflichten, die dem Kunden die vertragsgemäße Verwendung der Ware ermöglichen sollen oder den Schutz von Leib oder Leben von Personal des Kunden oder den Schutz von dessen Eigentum vor erheblichen Schäden bezwecken.
  3. Soweit wir gemäß Ziff. VIII Abs. 2 dem Grunde nach auf Schadensersatz haften, ist diese Haftung auf vertragstypische vorhersehbare Schäden begrenzt, d.h. auf solche Schäden, die wir bei Vertragsschluss als mögliche Folge einer Vertragsverletzung vorausgesehen haben oder die wir bei Anwendung verkehrsüblicher Sorgfalt hätten voraussehen müssen und die bei bestimmungsgemäßer Verwendung der Ware typischerweise zu erwarten sind.
  4. Die vorstehenden Haftungsausschlüsse und -beschränkungen gelten in gleichem Umfang zugunsten unserer Organe, gesetzlichen Vertreter, Angestellten und sonstigen Erfüllungsgehilfen.
  5. Soweit wir technische Auskünfte geben oder beratend tätig werden und diese Auskünfte oder Beratung nicht zu dem von uns geschuldeten, vertraglich vereinbarten Leistungsumfang gehören, geschieht dies unentgeltlich und unter Ausschluss jeglicher Haftung.
  6. Der Kunde ist verpflichtet, angemessene Maßnahmen zur Schadensabwehr und Schadensminderung zu treffen.
IX. Verbindlicher Originaltext Der deutsche Originaltext dieser Verkaufsbedingungen ist maßgebend. Die englische Übersetzung ist unverbindlich, soweit sie vom deutschen Originaltext abweicht. X. Schlussbestimmungen
  1. Vorbehaltlich eines anderweitigen ausschließlichen Gerichtsstands ist der ausschließliche Gerichtsstand für die Entscheidung aller aus oder im Zusammenhang mit der Geschäftsbeziehung entstehender Streitigkeiten Illerrieden, Deutschland. Wir sind jedoch berechtigt, den Kunden an jedem anderen gesetzlichen Gerichtsstand zu verklagen.
  2. Die Rechtsbeziehungen zwischen uns und dem Kunden unterliegen ausschließlich dem Recht der Bundesrepublik Deutschland. Das Übereinkommen der Vereinten Nationen über Verträge über den internationalen Warenkauf vom 11. April 1980 (CISG) findet keine Anwendung.
  3. Sollten eine oder mehrere Bestimmungen dieser Verkaufsbedingungen ganz oder teilweise unwirksam sind oder werden, wird dadurch die Wirksamkeit der übrigen Bestimmungen nicht berührt. Die ganz oder teilweise unwirksame Bestimmung soll durch diejenige rechtlich wirksame Bestimmung ersetzt werden, welche der wirtschaftlichen Zielsetzungen der unwirksamen Bestimmung möglichst nahe kommt. Entsprechendes gilt im Falle einer Regelungslücke.
  4. Der Kunde ist nicht berechtigt, Ansprüche aus Verträgen mit uns an Dritte abzutreten. § 354a HGB bleibt unberührt.

Standard Terms and Conditions

The following Standard Terms and Conditions (“Agreement”) apply to any and all procurement by Buyer of all makes and models of equipment, parts and components for such equipment (“Equipment”) and repair services, refurbishment or warranty work or other services  (“Services”) described in an invoice, lease, proposal, quote, purchase order acknowledgment, sales acknowledgement, drawing, exceptions document or other instrument to which this Agreement is attached or to which reference is made or to any purchase order, transactional document or any other communication between the parties regardless of whether this Agreement is referenced therein. Equipment and Services shall be collectively referred to as “Products”. Seller objects to and shall not be bound by any additional or different terms, whether printed or otherwise, in any purchase order or other communication from Buyer to Seller, unless specifically agreed to in a single writing signed by the Parties hereto.  This Agreement constitutes the entire, integrated agreement between the Parties related to the subject matter of this Agreement and any and all discussions, understandings, agreements, representations, courses of dealings, customs, and usages of trade heretofore made or engaged in by the Parties with respect to the subject matter hereof are merged into this Agreement, which alone fully and completely expresses the Parties’ agreement.  Seller will not be liable to Buyer, for representations and warranties made by Seller’s distributors and sales agents which are inconsistent or in conflict with this Agreement.

  1. Definitions.“Seller” means SFC KOENIG LLC. “Buyer” or “Buyers” means, as applicable, the purchaser or lessee of Products.
  2. Terms of Sale.
    1. The Equipment shall transfer by Seller to the shipping carrier per the Incoterms set forth in the applicable quotation (“Quote”), at which point title and all risk of loss or damage to Equipment will pass to Buyer. If not otherwise set forth in the Quote, the Incoterms shall be FCA.
    2. Buyer shall conduct an inspection of the Products promptly upon delivery and shall promptly notify Seller in writing of any defects.   If Buyer fails to promptly notify Seller of any defects, whether or not any such inspection and acceptance has been performed by Buyer, the Products shall be considered accepted.   Buyer’s sole and exclusive remedy for rejection of Equipment is as set forth in Section 3 (Product Warranty).
  3. Product Warranty. All technical support installation, product warranty, and post warranty services are provided only at the original installed location. Product warranty is NONTRANSFERABLE from one location to another, except with the prior written consent of Seller.
    1. Seller warrants that for a period of one (1) year following shipment the Equipment will: (i) be free from defects in materials and workmanship; and (ii) conform to the specifications agreed to by the Parties in writing. Seller warrants that Services will be performed in a workmanlike manner and such warranty shall be limited to a period of one (1) year from date of service (other than warranty services and services performed gratis). Buyer’s sole and exclusive remedy for any breach of warranty related to Equipment will be limited to, at Seller’s option, replacement, repair or refund of the purchase price of the Equipment  that does not conform with the warranties,  provided that Buyer notifies Seller of such defect in writing within ten (10) days after Buyer knows or has reason to know thereof, and provided further that inspection of the Equipment  by Seller discloses that the defect developed under normal and proper use of the Equipment.  Wear parts including, but not limited to, process piping, interaction or reaction chambers, auxiliary processing modules, screens, elastomeric seals, transducers, back-up rings, o-rings, and gaskets are not warranted for the period stated above but only for a period of ninety (90) days from the date of shipment. This warranty will not apply to Equipment that: (i) is damaged due to misuse, abuse, negligence or accident occurring during or after shipment; (ii) is changed or modified (unless the change or modification is made by or in accordance with written instructions of Seller); (iii) deteriorates due to erosion, abrasions or chemical action; (iv) fails due to improper installation (except for installation provided or supervised by Seller), operation or maintenance; (v) fails due to any non-Seller equipment, or system with which  Equipment  is used; or (vi) Buyer operates in any manner other than in accordance with Seller’s manual, guidelines, operating instructions or other material.
    2. Equipment will not be returned to Seller without Seller’s written permission. Provision of a replacement part or component will not operate to extend the warranty period for any Equipment.  Seller reserves the right to inspect Equipment that is subject to warranty claims and to require the return of such Equipment that is subject to warranty claims to Seller’s Warehouse at Buyer’s expense; provided, however, that it is determined that the issue with returned Equipment is covered by warranty, Seller will reimburse Buyer for freight charges associated with the return of such Equipment to Seller’s Warehouse.  Seller also reserves the right to use reconditioned parts and components for warranty replacements.
    3. THE FOREGOING WARRANTIES ARE EXCLUSIVE AND IN LIEU OF, AND SELLER DISCLAIMS AND BUYER WAIVES, ALL OTHER WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND OF ANY OTHER TYPE, WHETHER EXPRESS OR IMPLIED, ARISING BY LAW (STATUTORY OR OTHERWISE) AND WHETHER OR NOT OCCASIONED BY SELLER’S NEGLIGENCE.
  4. Limitation of Liability. SELLER WILL NOT BE LIABLE TO BUYER, FOR SPECIAL, PUNITIVE, INDIRECT OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING, BUT NOT LIMITED TO, LOST PROFITS, DOWNTIME, LOSS OF BUSINESS AND FROM ANY CLAIM, ACTION OR CAUSE WHATSOEVER ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE MANUFACTURE, SALE, HANDLING, REPAIR, REPLACEMENT OR USE OF PRODUCTS. IN NO EVENT WILL SELLER’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT, WHETHER IN CONTRACT OR TORT OR ANY OTHER THEORY OF LIABILITY, EXCEED THE PURCHASE PRICE OF THE PRODUCTS GIVING RISE TO THE CLAIM, EVEN IF SELLER IS ADVISED OR PLACED ON NOTICE OF THE POSSIBILITY OF SUCH PENALTIES OR DAMAGES AND NOTWITHSTANDING THE FAILURE OF AGREED OR OTHER REMEDY OF ITS ESSENTIAL PURPOSE. In no event shall Seller be liable for late delivery or other penalties.
  5. Intellectual Property. All patent, technology, copyright, trade secret or other similar proprietary or intellectual property rights in or related to the design, production, delivery, operation, use, application or performance of Products, or other Confidential Information of Seller, and all improvements thereto, are and will remain the sole and exclusive property of Seller. In no event may Buyer make a patent or other claim to Seller’s Products and/or Seller’s technology or processes or include or reference any Confidential Information of Seller in any patent or other claim.  Nothing in this Section 5 precludes Buyer from incorporating a description or reference to Seller’s Products and/or non-confidential aspects of Seller’s technology or processes where necessary to support a patent or other claim to Buyer’s product, provided, however, that no use of Seller’s name, trademarks or logos may be made without Seller’s prior written consent. Nothing in this Agreement will be construed as granting to Buyer any license or grant of intellectual property rights with regards to the Products’ or its processes.
  6. Seller Indemnity. Seller shall defend, indemnify and hold harmless Buyer against third party claims for personal injury or tangible property damage to the extent caused by a defect in any Equipment. Seller’s obligations to Buyer hereunder shall be subject to and conditioned upon Buyer giving Seller written notice of such claim (including all known material facts related thereto) within ten (10) days after it is asserted against Buyer (provided that the failure to give Seller written notice of a claim as provided herein shall relieve Seller from its obligations hereunder only if and to the extent Seller is prejudiced thereby) and Buyer granting Seller exclusive direction and control of the investigation, defense and settlement of such claim, including, but not limited to, selection of legal counsel to represent Buyer at Seller’s expense.
  7. Equipment Changes. Seller reserves the right, in its sole discretion and without prior notice, to make changes to Equipment at any time that do not materially affect form, fit or function.
  8. Buyer Requested Change, Delay or Cancellation; Liquidated Damages.
    1. If Buyer requests a change to Equipment, Seller may impose additional equitable charges.
    2. No delivery reschedules or delays will be permitted within four (4) weeks of the confirmed ship date per Seller’s order confirmation.
    3. No cancellation of Equipment is permitted within ninety (90) days of shipment per Seller’s Order Confirmation. In the event Buyer cancels any order for Equipment outside of that time frame or does not accept delivery, the minimum charge imposed by Seller and payable immediately will be: the price of the manufactured Equipment, plus the cost of labor, any work in progress, any parts and components that are on order, and any manufacturer cancellation charges for unshipped items for such cancelled parts and components.
    4. If shipment of the Equipment is delayed or rescheduled for greater than ten (10) days after the confirmed ship date due to Buyer’s fault, then upon the expiration of such ten (10) day period, Buyer shall pay to Seller, a storage and handling fee equal to one tenth of one percent (0.10%) per day of the purchase order value for each day the shipment is delayed, with a maximum storage and handling fee of ten percent (10.0%) of the purchase order value. The parties agree that such amounts are a reasonable pre-estimate of the damages Seller will suffer as a result of delay based on circumstances existing at the time the purchase order was issued and are to be assessed as liquidated damages and not as a penalty.
    5. If pursuant to the terms of the purchase order, Buyer has elected to use a freight forwarder and/or carrier selected by Buyer, and shipment of the Equipment  does not take place on or prior to the confirmed ship date as a result of Buyer’s failure to arrange for Buyer’s freight forwarder and/or carrier to take delivery of the Equipment on the confirmed ship date, then, upon five (5) business days’ notice to Buyer (which may be by email), (i) Seller shall be entitled to ship the Equipment to Buyer using a freight forwarder selected by Seller CPT North Haven CT freight prepaid and billed” and invoice Buyer for such charges; and (ii) Buyer shall pay to Seller such invoiced charges net thirty (30) days after date of invoice.  If Seller exercises its rights under this paragraph, title and risk of loss shall pass to Buyer in accordance with the Incoterm as specified in the Quote.
  9. Confidential Information. For purposes of this Agreement, “Confidential Information” shall include all information furnished under this Agreement which is designated as confidential or proprietary, or which the receiving party knows or should know is being disclosed on a confidential basis, including without limitation pricing information, proposals, prints, drawings and all information in or related to the design, development, production, delivery, operation, use, application or performance of any of a party’s technology, equipment, parts, or maintenance/services. Confidential Information does not include information which: (a) is known or independently developed by the receiving party prior to its disclosure by the other party, as evidenced by receiving party’s records; (b)  becomes a part of the public domain without breach of this Agreement by the receiving party; (c) is received from a third party without restriction and under conditions permitting its disclosure to others; or (d) which is disclosed pursuant to judicial action or government regulations provided the receiving party notifies the disclosing party prior to such disclosure, and cooperates with the disclosing party in the event it elects to legally contest and avoid such disclosure. For a period of five (5) years from the date of receipt, Confidential Information shall be maintained in confidence by the receiving party, shall not be disclosed to any third party, other than Seller’s suppliers who have a reason to know, without prior written approval of the disclosing party, and shall be protected with the same degree of care as the receiving party normally uses in the protection of its own confidential and proprietary information, but in no case with any less degree than reasonable care.  Notwithstanding the foregoing, the Parties’ obligation to protect trade secrets is perpetual or for so long as such information remains a trade secret under applicable law, whichever occurs first.
  10. Force Majeure. Seller is not liable for any failure to perform its obligations under this Agreement resulting directly or indirectly from or contributed to by, acts of God, acts of civil or military authorities, riots or civil disobedience, terrorism, wars, strikes or labor disputes, accidents, floods, fires, or inability to secure material or transportation facilities, dissolution of a supplier’s business, acts or omissions of carriers, or any other circumstance beyond Seller’s reasonable control; provided, however, that, Buyer agrees to take delivery and make payment for finished Equipment or component as of the date of the Force Majeure event.
  11. Waiver. No failure or delay by either party to insist upon strict performance of any rights or powers under this Agreement shall operate as a waiver thereof, nor shall any other single or partial exercise of such right or power preclude any other further exercise of any rights or remedies provided by law, unless agreed to by that party in writing. Any waiver of this Agreement shall not operate or be construed as a waiver of any subsequent breach by either party.
  12. Assignment. This Agreement may not be transferred or assigned by Buyer without the prior written consent of Seller.Seller may assign its rights and obligations under this Agreement in whole or in part to an affiliate company or third party acquirer in the event of a merger, acquisition or sale of all or substantially all its assets.
  13. Specific Performance. Buyer agrees that monetary damages may not be sufficient to remedy a breach hereunder and that Seller shall be entitled to seek specific performance and injunctive or other equitable relief.
  14. Severability. If any provision of this Agreement is held by a court of competent jurisdiction to be contrary to law, the provision shall be modified by the court and interpreted so as best to accomplish the objectives of the original provision to the fullest extent permitted by law, and the remaining provisions of this contract shall remain in effect.
  15. Export/Import. Buyer shall be solely responsible for obtaining all approvals, authorizations licenses and permits, unless otherwise specified under the applicable Incoterms agreed to by the parties.  Buyer shall comply with all laws, rules and regulations, and making all arrangements related to the export or import of Equipment supplied by Seller.  Equipment and related technical information, data, documents and materials are subject to export controls under U.S. Export Administration Regulations and U.S. Department of the Treasury embargo regulations and other applicable laws.  Buyer shall strictly comply with all such export controls, shall fully cooperate with Seller in any official or unofficial investigation, audit or inspection that relates to any of such controls, and shall not export, re-export, divert or transfer, directly or indirectly, any Equipment  or related technical information, data, documents or materials to any party or destination or for any use that is subject to an embargo or otherwise prohibited pursuant to such controls, unless and until Buyer obtains all required governmental and regulatory approvals, authorizations, licenses and permits.
  16. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the state of Delaware if Seller is an entity formed in the U.S. and the Province of Ontario if the Seller is a Canadian legal entity, without regard to its conflict of law provisions and shall not be governed by the U.N. Convention on the International Sale of Goods.
  17. Payment. Quoted prices exclude taxes, freight and insurance and any duties and brokerage charges, all of which shall be the sole liability and responsibility of Buyer.  If Buyer claims an exemption from any tax, a valid and proper tax exemption certificate must accompany order.  Unless otherwise set forth in Seller’s invoice, proposal, lease, or purchase order acknowledgment, all payments shall be made in the currency specified in the Quote. Any deposit or graduated payment schedule shall be set forth in the Quote and invoiced accordingly. If not addressed in the Quote, Equipment will be invoiced upon shipment and Services upon completion or thirty (30) days from shipment of Equipment, whichever occurs first.  Payment is due Net30 or as otherwise specified in the Quote. All amounts not paid and received in full by the due date  are subject to a finance charge at the rate of one and one half percent (1.5%) per month (eighteen percent (18%) per annum) or, if less, at the maximum rate permitted by law, from the date due until paid in full.  Prices set forth in a Quote are subject to being adjusted due to extraordinary market conditions. As used herein, “extraordinary market conditions” means any increase in the cost of materials caused by changes in the market or for any other reason that is outside of Seller’s control such as tariffs, surcharges, and fluctuations in currency and raw materials, which results in an overall price increase of the Equipment in excess of two percent (2%) above the price listed in the Quote. Each shipment is a separate sale and is subject to credit arrangements or to receipt of cash. If payment is not made in accordance with Seller’s payment terms, or if at any time, in Seller’s sole judgment, Buyer’s credit standing has been impaired, Seller may withhold shipment of any Equipment or the provision of any Services, until cash or credit arrangements have been established to Seller’s sole satisfaction.

Scope

The General Conditions of Sale in their current or future edition shall apply to each and any transaction whatsoever between SFC KOENIG AG and its customers. SFC KOENIG accepts no further commitments and obligations with the exception of those covered by its prior express written consent. Such a consent shall not go beyond the particular transaction for which it was given. Any of SFC KOENIG customers’ terms different from or additional to SFC KOENIG General Conditions of Sale shall not apply without SFC KOENIG express consent.

销售通用条款的现行版本及其将来版本应适用于孔瑞格与客户的所有交易。孔瑞格不承担任何其他承诺和义务，经孔瑞格事先书面同意的除外。该等同意应仅限于其针对的特定交易。未经孔瑞格明确同意，任何客户的与孔瑞格销售通用条款不同的或额外的条款不应适用。

Formation and Modification of Contract

All offers are made by SFC KOENIG without any commitment or engagement whatsoever.
Orders which have neither been confirmed in writing nor invoiced by SFC KOENIG shall not be deemed accepted by SFC KOENIG. Any modification of or addition to an accepted order shall not apply unless confirmed by SFC KOENIG in writing.

未经孔瑞格书面确认且开票的订单，不应视为孔瑞格接受的订单。对已接受订单的任何修改或附加条款不应适用，除非经孔瑞格书面确认的。

Price
价格

All prices invoiced or confirmed by SFC KOENIG shall not bind SFC KOENIG with regard to eventual excess deliveries, short deliveries or supplementary orders. SFC KOENIG reserves the right to charge increased prices in case of excess deliveries, short deliveries or supplementary orders.
经孔瑞格开票或确认的价格不应适用于最终超额交付、交货短缺或增补订单，对孔瑞格没有约束力。孔瑞格保留在超额交付、交货短缺或增补订单情形下收取价格上涨价款的权利。

All prices confirmed by SFC KOENIG are based on the market conditions, terms of trade and currency exchange conditions known to SFC KOENIG on the day of confirmation. In case that deteriorated terms of trade, currency exchange conditions or market conditions affect the prices before shipment, SFC KOENIG reserves the right to increase such prices accordingly.
孔瑞格确认的所有价格系基于孔瑞格确认当天已知悉的市场条件、交易条款或汇率条件。如在运输前交易条款、汇率条件或市场条件恶化影响价格的，孔瑞格保留权利相应地提高价格。

SFC reserves the right to apply minimal invoice amounts, to charge handling costs in case of small orders. All invoices of SFC are payable within due date defined at quotation. If SFC does not receive the full payment within the above payment term, customer will, without being reminded thereof by SFC Suzhou, automatically fall in default upon expiration of such term. If so, SFC Suzhou is entitled to charge 7% interests on arrears plus costs.
孔瑞格保留使用最小开票金额的权利，有权在小额订单的情况下收取操作费用。孔瑞格的所有发票的开票日满足报价中确认的日期规则。如孔瑞格未在上述支付期限内收到全部款项的，无需孔瑞格提醒，客户在该等期限届满后自动构成违约。如客户构成违约的，孔瑞格有权对应付欠款收取7%的利息和成本。

Delivery Terms
交付期限

SFC KOENIG tries to meet the delivery term proposals of its customers whenever possible. However, SFC KOENIG is not able to guarantee any terms of delivery and its respective indications or confirmations are made without commitment. Therefore, delayed deliveries do no trigger any default on the part of SFC KOENIG and its customers are not entitled to rescind the contract or claim damages based on delayed deliveries.
孔瑞格在可能的情况下努力满足客户交期的要求。但是，孔瑞格不能保证任何交期，其各自的表示或确认不含任何承诺。因此，迟延交付不构成孔瑞格违约，客户也无权因迟延交付解除合同或主张赔偿。

Excess, Short, Part Delivery / Benefit and Risk / Force Majeure

If Force Majeure affecting SFC KOENIG and/or its suppliers and/or occurring in transit prevents SFC KOENIG partly or wholly from performing its obligations, SFC KOENIG is entitled to cancel the respective orders to that extent without any indemnity. Force Majeure is deemed to be any event or occurrence beyond SFC KOENIG reasonable control, which affects the performance of the contract.
如不可抗力影响孔瑞格和/或其供应商和/或发生在运输途中，导致孔瑞格部分或全部无法履行其义务的，则孔瑞格有权在相应的范围内取消相应订单而无需承担任何赔偿。不可抗力是指任何超出孔瑞格合理控制的且影响合同履行的活动或事件。

SFC KOENIG reserves the right to make technically caused short and excess deliveries of up to 10%. Art. 3, above, applies. SFC KOENIG is in any case whatsoever entitled to discharge its delivery obligation by partial shipments. Benefit and risk shall pass to the customer upon dispatch, that is as soon as the shipment leaves the premises of SFC KOENIG. It is up to the customer to insure the shipment against damages and losses in transit.
孔瑞格保留因技术原因导致10%交货短缺或超额交付的权利，上述第3条适用。孔瑞格在任何情况下有权通过分批交货履行自身交付义务。收益和风险在发运后转移至客户，也就是货物一离开孔瑞格的经营场所收益与风险即转移。客户应投保以防货物在运输途中的损害和损失。

>Warranties and Liability

Provided that its products are used in conformity with their intended use, SFC KOENIG exclusively and solely warrants their technical specification as contained in the latest data sheets submitted the customer. Additional data and product specifications are of information value only. Technical specifications and dimensions are subject to changes and are not being updated in the technical data sheets until the next edition. Liability due to incorrect information cannot be accepted. SFC KOENIG recommends the user to make his own tests, also as to long time behavior in order to assess whether or not a certain product is fit for a specific purpose.
如产品按照预期用途使用的，孔瑞格仅仅保证产品的技术规格与孔瑞格向客户提交的最新的数据表包含的规格一致。额外的数据和产品规格仅供参考。技术规格和尺寸受制于修改，且该等修改在下一版的技术数据表中方才会更新。孔瑞格不接受任何因错误信息引起的责任。孔瑞格建议使用者自行测试，同时对长时间的表现进行测试，以评估某种产品是否适合特定的用途。

Customer shall notify SFC KOENIG in writing of any apparent defects of the products within 14 days from receipt of the respective shipment. Customer shall notify SFC KOENIG in writing of hidden defects within 7 days from their discovery. SFC KOENIG does not answer for any defect notified later. Any warranty against defects, in particular against hidden defects, including those not yet discovered, expires after 12 months from the receipt of the respective shipment.

In case of timely notified defects, SFC KOENIG shall have the right to inspect and examine such defects or damages through its own staff and/or through experts of its choice.

If SFC KOENIG recognizes a timely notified defect which is covered by the warranty as defined in para 1. of this article, SFC KOENIG undertakes to remedy such defect and any damages eventually resulting therefrom exclusively and solely by replacement, repair or credit, in each case up to the invoiced amount as SFC KOENIG thinks appropriate in its sole discretion.

Any further liability of SFC KOENIG is fully and explicitly excluded.

Exclusion of Warranties and Liability

Any warranty or liability originating from the contract or from tort beyond Art. 6 is expressly excluded. In particular, SFC KOENIG does not answer for defects or damages attributable to overcharge or improper storage and/or any other improper or inadequate treatment or use of its products, for defective design (design defects) and/or failure to instruct or warn (warning defects), for any representations, statements, comments or remarks made by SFC KOENIG sales personnel, and for any injury to persons and/or tangible or intangible property attributable to the defects or the use of SFC KOENIG products.
明确排除合同或侵权导致的第6条以外的任何保证或责任。尤其地，孔瑞格不对因过载和/或不当储存和/或任何其他不当或不足处理或使用产品导致的缺陷或损坏承担责任，不对缺陷设计（设计缺陷）和/或未能通知或警告（缺陷警告）承担责任，不对孔瑞格销售人员作出的任何陈述、声明、意见或评论承担责任，且不对因缺陷或使用孔瑞格产品导致的任何人身损害和/或有形的或无形的财产损害承担责任。

In case of defects covered by SFC KOENIG warranty (Art. 6 para. 1), any remedy or claim other than replacement or repair or credit up to the invoiced amount is excluded. Such exclusion applies in particular to any claim for termination of the contract, for price reduction or for any consequential or incidental damages whatsoever. Any claim based on material error is excluded. The responsibility for eventual third party damages and measures to avoid such damages lies with the customer.
孔瑞格保证涵盖的缺陷（第6条第1款），任何超出更换或维修或退还款项（以开票金额为上限）的补救措施或主张均予以排除。该等排除尤其适用于针对合同终止、价格折让或任何间接或偶然损害的主张。任何基于材料错误的主张予以排除。客户应负责最终第三方损害和采取措施避免该等损害。

Defects covered by SFC KOENIG warranty must be discovered and notified within the notification periods set forth in Art. 6 para 2. Defects not so discovered and notified shall be considered to be accepted by the customer, and related rights lapse.
孔瑞格保证涵盖的缺陷须在第6条第2款规定的通知期内发现并通知。未按照约定发现和通知的，应视为客户接受该等缺陷，丧失相关的权利。

Work Contracts
承揽合同

SFC KOENIG General Conditions of Sale shall also apply to work contracts.
孔瑞格销售通用条款也适用于承揽合同。

In case of work contracts, SFC KOENIG is entitled to delegate or assign performance in its sole discretion in whole or in part to any third party.
在承揽合同的情形下，孔瑞格有权自主决定将其合同履行全部或部分委托或分配给任何第三方。

All tools, patterns and other devices produced in connection with a work contract remain the property of SFC KOENIG, regardless of whether SFC KOENIG charges its respective costs or not. All confirmations of orders for work and special executions are based on SFC KOENIG estimated production costs. In case of unforeseeable difficulties arising during the manufacturing process, SFC KOENIG is entitled to charge immediately any costs resulting from its reasonable efforts to surmount such difficulties. If SFC KOENIG is unable to surmount such difficulties other than with unreasonable efforts, it is entitled to invoice any work done and all its expenses and to withdraw from the contract without having to indemnify the customer.
与承揽合同相关的所有工具、模型和其他装置应保持是孔瑞格的财产，无论孔瑞格是否单独收取成本。对于承揽工作以及特殊执行订单的确认均是基于孔瑞格预估的生产成本。如在生产过程中发生不可预见的困难，孔瑞格有权立即收取因做出合理努力克服该等困难产生的任何成本。如孔瑞格通过合理努力未能克服该等困难，孔瑞格有权收取任何完成工作相应的价款和所有的费用，且有权解除合同而无需承担赔偿责任。
Intellectual Property Rights
知识产权

Trademarks, drawings, designs, know-how, projects and corresponding protection rights remain the property of SFC KOENIG. It is not allowed to use, copy or otherwise reproduce them, or to pass them on to or make them otherwise available to third parties without SFC KOENIG prior express written consent.
商标、图纸、设计、专有技术、项目和对应的保护性权利应保持是孔瑞格的财产。未经孔瑞格事先明确书面同意的，不得使用、复制或再制造，不得传递给第三方或以其他方式使第三方可获得。

Retention of Property
所有权保留

Any product delivered by SFC KOENIG remains its property until full payment of the invoiced purchase price is effected and the title to any such product shall only pass to the customer upon full payment of the invoiced purchase price.
孔瑞格交付的所有产品应保持是孔瑞格的财产直至开票价格全额付清，任何该等产品的所有权仅在开票价格全额付清后转移至客户。

Safety Regulation / Use in accordance with regulations

It is the exclusive and sole responsibility of the customer to comply with any applicable safety regulations and to instruct its personnel accordingly.
